3. Uraian Informasi atau Fakta : • Pada tanggal 2 Agustus 2023, PT Centratama
Material / Description of Material Menara Indonesia (“CMI”), yang merupakan
Information or Fact entitas anak yang 99,99% sahamnya dimiliki oleh
CENT, telah menandatangani akta pengalihan
sehubungan dengan pengambilalihan oleh CMI
atas 397 portofolio aset menara telekomunikasi
milik (atau yang disewa oleh) PT Anugerah
Communication (“PTAC”) (“Obyek Transaksi”). /
On 2 August 2023, PT Centratama Menara
Indonesia (“CMI”), which is a subsidiary that is
99.99% owned by CENT, has executed a deed of
transfer in connection with the acquisition by CMI
of 397 telecommunication tower asset portfolio
owned (or leased by) PT Anugerah
Communication (“PTAC”) (“Transaction Object”).
• Penandatanganan akta pengalihan tersebut
merupakan bagian dari pelaksanaan transaksi (i)
pengambilalihan Obyek Transaksi oleh CMI dari
PTAC dan (ii) penyewaan lahan di mana sebagian
Obyek Transaksi berada dari PT Kelola Multi
Berkat (“KMB”), yang merupakan satu kesatuan
transaksi, berdasarkan Perjanjian Pembelian Aset
Bersyarat tanggal 17 Agustus 2022 dan Perjanjian
Sewa Tanah Induk tanggal 17 Agustus 2022
(“Transaksi”). /
Execution of such deed of transfer is part of the
implementation for the transaction on (i) the
acquisition of the Transaction Object by CMI from
PTAC and (ii) the lease of land plots on which part
of the Transaction Object are located from PT
Kelola Multi Berkat (“KMB”), which are conducted
as one transaction, pursuant to the Conditional
Asset Purchase Agreement dated 17 August 2022
and Master Land Lease Agreement dated 17
August 2022 (“Transaction”).
• Transaksi adalah suatu “Transaksi Material”
berdasarkan Peraturan Otoritas Jasa Keuangan
No. 17/POJK.04/2020 tentang Transaksi Material
dan Perubahan Kegiatan Usaha. Sehubungan
dengan itu, CENT telah (i) mengumumkan

Dalam Rangka Transaksi Material pada tanggal 29
Agustus 2022 dan 3 Oktober 2022 (“Keterbukaan
Informasi Tahun 2022”), dan (ii) mendapatkan
persetujuan Rapat Umum Pemegang Saham
(“RUPS”) CENT melalui RUPS Luar Biasa CENT
tanggal 5 Oktober 2022. /
The Transaction is a “Material Transaction”
pursuant to the Financial Services Authority
Regulation No. 17/POJK.04/2020 on Material
Transactions and Changes in Business Activities.
In relation to that, CENT has (i) published the
Disclosure of Information to the Shareholders for
the Purpose of Material Transaction on 29 August
2022 and 3 October 2022 (“2022 Disclosure of
Information”), and (ii) obtained the approval of the
General Meeting of Shareholders (“GMS”) of
CENT through the Extraordinary GMS of CENT
dated 5 October 2022.
• Dengan ditandatanganinya akta pengalihan
tersebut, maka CMI telah menjadi pemilik yang sah
atas Obyek Transaksi. /
With the execution of the abovementioned deed of
transfer, CMI has become the legal owner of
Transaction Object.
• Harga pembelian atas Obyek Transaksi adalah
sebesar sebanyak-banyaknya
Rp1.155.212.882.052 yang dibayarkan dalam
beberapa tahapan pembayaran dengan tunduk
pada dipenuhinya ketentuan-ketentuan tertentu
sebagaimana telah diuraikan dalam Keterbukaan
Informasi Tahun 2022. /
The purchase price of the Transaction Object is in
the amount of up to IDR1,155,212,882,052 which
is paid in several payment stages based on the
fulfilment of certain provisions as described under
the 2022 Disclosure of Information.

fakta material tersebut terhadap dampak Transaksi sebagaimana sebelumnya telah
