Uraian Informasi atau Fakta Material CMSS adalah entitas anak Perseroan dengan kepemilikan
99,90% (sembilan puluh sembilan koma sembilan puluh
persen) dan Laporan Keuangan CMSS dikonsolidasikan
dalam Perseroan. CMSS bergerak dalam bidang Perdagangan
Ritel Modern Bahan Bangunan dengan merek Mitra10,
berkedudukan di Kabupaten Tangerang dan berkantor pusat di
Jl. Boulevard Gading Serpong, Blok Mitra10, Summarecon
Serpong, Tangerang.
Penyertaan Modal Ditempatkan dan Disetor Perseroan pada
CMSS sebesar Rp. 854.145.000.000 (delapan ratus lima puluh
empat miliar seratus empat puluh lima juta rupiah) dan setelah
dilakukan peningkatan penyertaan modal maka Modal
Ditempatkan dan Disetor CMSS seluruhnya menjadi sebesar
Rp. 1.655.000.000.000 (satu triliun enam ratus lima puluh lima
miliar rupiah).
Penyertaan Modal Ditempatkan dan Disetor Perseroan pada
CMSS yang telah dilaksanakan pada tanggal 03 Agustus 2023
adalah sesuai dengan maksud dan tujuan dilakukannya
Penambahan Modal Hak Memesan Efek Terlebih Dahulu II
(PMHMETD II) Perseroan yang telah mendapatkan
pernyataan efektif dari Otoritas Jasa Keuangan pada tanggal
pada tanggal 27 Juni 2023, dimana seluruh dana yang
diperoleh dari PMHMETD II ini setelah dikurangi biaya-biaya
emisi akan digunakan untuk: (a) sebesar Rp415 miliar
digunakan untuk pengambilalihan satu bidang tanah yang
terdiri dari beberapa sertifikat dengan total luas 20.919m2 dan
bangunan diatasnya seluas 22.070m2 yang dikenal sebagai
Jalan Alternatif Cibubur KM 14 Kelurahan Jatirangga,
Kecamatan Jatisampurna, Kota Bekasi, Jawa Barat atas nama
Bapak Budyanto Totong. (b) Rp350 miliar digunakan untuk
pengembangan usaha berupa penambahan pembukaan toko
baru Mitra10 yang terletak di beberapa propinsi di Indonesia.
(c.) Sisanya akan digunakan untuk modal kerja CMSS antara
lain untuk persediaan dan beban operasional.
Dampak kejadian, informasi atau fakta Peningkatan Penyertaan Perseroan pada CMSS memberikan
material tersebut terhadap kegiatan dampak sebagai berikut :
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau 1. Struktur permodalan CMSS menjadi semakin kuat.
Perusahaan Publik 2. Kegiatan operasional CMSS akan menjadi lebih baik dan
lancar dalam kegiatan usaha setiap harinya.
3. Kondisi rasio keuangan CMSS akan menjadi lebih baik dan
sehat termasuk penggunaan dana melalui pinjaman bank
berkurang sehingga beban bunga pinjaman dapat berkurang
dan memberikan keuntungan (laba) yang lebih baik.

Increase in the Company's equity participation in PT Catur
Type of Material Information or Facts Mitra Sejati Sentosa (Mitra10)
Description of Material Information or CMSS is a subsidiary of the Company with 99.90% (ninety
Facts nine point ninety percent) ownership and the CMSS Financial
Statements are consolidated within the Company. CMSS is
engaged in the Modern Retail Trade of Building Materials
under the Mitra10 brand, domiciled in Tangerang Regency and
has its head office on Jl. Gading Serpong Boulevard, Mitra10
Block, Summarecon Serpong, Tangerang.
The Company's Issued and Paid-up Equity in CMSS is Rp.
854.145.000.000,- (eight hundred fifty four billion one hundred
and forty five million rupiah) and after the increase in equity
participation, the total Issued and Paid-up Capital of CMSS
becomes Rp. 1,655,000,000,000.- (one trillion six hundred fifty
five billion rupiah).
The Company's Issued and Paid-up Equity Participation in
CMSS which was carried out on August 3, 2023 is in
accordance with the intent and purpose of the Company's
Capital Increase for Pre-emptive Rights II (PMHMETD II)
which has received an effective statement from the Financial
Services Authority on the date June 27, 2023, whereby all
funds obtained from this PMHMETD II after deducting
emission costs will be used for: (a) in the amount of Rp.415
billion to be used for the acquisition of one plot of land
consisting of several certificates with a total area of 20,919m2
and buildings on it covering an area of 22,070 m2 which is
known as the Cibubur Alternative Road KM 14 Jatirangga
Village, Jatisampurna District, Bekasi City, West Java on
behalf of Mr. Budyanto Totong. (b) IDR 350 billion is used for
business development in the form of additional opening of new
Mitra10 stores located in several provinces in Indonesia. (c)
the remainder will be used for CMSS working capital, among
others, for inventories and operating expenses.
