Fakta Material / maupun tidak langsung dimiliki 100% oleh Perseroan, yaitu PT
Description of Material Pamapersada Nusantara (“PAMA”) dan PT Energia Prima
Information or Facts Nusantara (“EPN”), telah mendirikan perusahaan yang bernama
PT Pertiwi Nusantara Raya (“PNR”).
Pendirian PNR tersebut telah dinyatakan dalam Akta Pendirian
No. 121 tertanggal 26 Juli 2023 yang dibuat di hadapan Jose
Dima Satria, SH., M.Kn., Notaris di Jakarta (“Akta Pendirian”).
Akta Pendirian telah disahkan dengan Keputusan Menteri
Hukum dan Hak Asasi Manusia Republik Indonesia No. AHU-
0055637.AH.01.01. TAHUN 2023 tanggal 31 Juli 2023.

PNR akan melakukan kegiatan usaha sebagai perusahaan sub-
induk pada anak-anak perusahaan dari Perseroan, yang
bergerak pada kegiatan usaha pengelolaan kehutanan,
pelestarian lingkungan dan jasa lingkungan.
Keterangan mengenai struktur kepemilikan modal PNR adalah
sebagai berikut:

The Company through its subsidiaries which are 100% directly
and indirectly owned by the Company, namely PT Pamapersada
Nusantara (“PAMA”) and PT Energia Prima Nusantara (“EPN”),
have established a company namely PT Pertiwi Nusantara Raya
(“PNR”).
The establishment of PNR had been stated through Deed of
Establishment No. 121 dated 26 July 2023, which was made
before Jose Dima Satria, SH., M.Kn., Notary in Jakarta (“Deed
of Establishment”). The Deed of Establishment has been
authorized by the Decree of the Minister of Law and Human
Rights of the Republic of Indonesia No. AHU-0055637.AH.01.01.
TAHUN 2023 dated 31 July 2023.
PNR will conduct business as a sub-holding company of the
Company’s subsidiaries that engage in forestry utilization,
environmental conservation and environmental services.

4. Dampak kejadian, Penyertaan saham PAMA dan EPN dalam PNR merupakan
