 Description of Material Information or        SCNP (company) owns 55,000 (fifty five thousand) shares or
 Facts                                         worth USD 5,500,000 (five million five hundred thousand US
                                               Dollars) which is equivalent to 55% (fifty five percent) of the
                                               issued and paid-up capital of SDI.
                                               The Company will transfer its shares in PT. Aligned Donlim
                                               Indonesia to Guangdong Xinbao Electrical Appliances Holding
                                               Co. Ltd. and Dragon Will Enterprise Ltd.
                                               Transfer of 45,000 (forty-five thousand) shares of the company
                                               or with a nominal value of USD 4,500,000 (four million five
                                               hundred thousand US dollars) to Guangdong Xinbao Electrical
                                               Appliances Holding Co. Ltd.
                                               Transfer of 10,000 (ten thousand) shares of the company or
                                               with a nominal value of USD 1,000,000 (one million US dollars)
                                               to Dragon Will Enterprise Ltd.
                                               SDI is a limited liability company engaged in the business of
                                               household electronics industry, subject to the laws of the
                                               Unitary State of the Republic of Indonesia located in Bogor
                                               Regency.
                                               The Company aims to diversify the medical device industry so
                                               that it can be developed, as disclosed in the Prospectus of the
                                               Company's Initial Public Offering.
