Uraian Informasi atau Fakta Material Pada tanggal 31 Juli 2023, Perseroan dan PT Bank Central
Asia, Tbk (BCA) telah menandatangani Perubahan Perjanjian
Kredit sesuai Akta No.33, dan perjanjian pendukung lainnya
yaitu antara lain Surat Kuasa Membebankan Hak Tanggungan
Peringkat II (Kedua) yang dilanjutkan dengan APHT Peringkat
II (Kedua) sesuai Akta No.34 dan Akta Pernyataan dan
Kesanggupan sesuai Akta No.35, ketiga Akta tersebut dibuat
dihadapan Karin Christiana Basoeki, SH, Notaris di Jakarta
(selanjutnya disebut Transaksi).
Perubahan perjanjian kredit tersebut ditandatangani
sehubungan dengan diterimanya tambahan fasilitas kredit dari
BCA yaitu berupa kredit investasi dan kredit modal kerja
adalah sebesar Rp 92 Milyar.
Total Fasilitas Kredit secara keseluruhan adalah sebesar Rp
329,240 Milyar.
Adapun untuk outstanding pinjaman (Plafond) saat ini menjadi
sebesar Rp 237,240 Milyar.
Berdasarkan laporan keuangan audited tahun buku 2022,
Ekuitas Perseroan adalah sebesar Rp 1.186.405.791.289.
Dengan demikian tambahan fasilitas kredit masih dibawah
batasan 20% Nilai Transaksi Material, adapun total fasilitas
kredit secara keseluruhan adalah sebesar 28% dari ekuitas
Perseroan.
Begitu pun dengan nilai jaminan/agunan Perseroan masih
dibawah batasan 50% dari kekayaan bersih Perseroan.
Dengan demikian, Transaksi di atas merupakan transaksi
material yang tidak wajib menggunakan Penilai dan
memperoleh persetujuan RUPS sesuai dengan kriteria dan
persyaratan yang diatur dalam Pasal 11 butir b dan c POJK
Nomor 17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha karena Transaksi pinjaman ini
adalah transaksi yang diterima secara langsung dari bank dan
transaksi pemberian jaminan kepada bank.
Dampak kejadian, informasi atau fakta a. Dampak terhadap kegiatan operasional Perseroan
material tersebut terhadap kegiatan yaitu dengan adanya tambahan pembiayaan dari Perbankan
operasional, hukum, kondisi keuangan, maka Perseroan dapat melakukan pengembangan usaha dan
atau kelangsungan usaha Emiten atau menunjang kegiatan Perseroan.
Perusahaan Publik b. Tidak ada dampak hukum dan tidak ada dampak
negative terhadap kelangsungan usaha Perseroan.
c. Dampak terhadap terhadap kondisi keuangan adalah
bertambahnya kewajiban Perseroan seiring dengan tambahan
fasilitas kredit dan kewajiban ini tidak mempengaruhi
kelangsungan usaha Perseroan.

Signing of Additional Credit Facility of PT Tunas Alfin Tbk
Type of Material Information or Facts
Description of Material Information or On July 31, 2023, the Company and PT Bank Central Asia,
Facts Tbk (BCA) signing an Amendment to the Credit Agreement in
accordance with Deed No. 33, and other supporting
agreements, namely Power of Attorney to Charge Mortgage
Rating II (Second) followed by APHT Rating II (Second)
according to Deed No.34 and Deed of Declaration and
Commitment according to Deed No.35, the three Deeds were
drawn up before Karin Christiana Basoeki, SH, Notary in
Jakarta (hereinafter referred to as the "Transaction").
The amendment to the credit agreement was signed in
connection with the receipt of additional credit facilities from
BCA, namely in the form of investment loans and working
capital loans in the amount of IDR 92 billion.
The overall total credit facility is IDR 329.240 billion.
As for the current outstanding loan (Plafond) is IDR 237.240
billion.
Based on the audited financial reports for the year of 2022, the
Company's Equity is IDR 1,186,405,791,289. Thus the
additional credit facility is still below the limit of 20% Material
Transaction Value. The total credit facility as a whole is 28% of
the Company's equity.
The value of the Company's collateral are below the 50% limit
of the Company's net worth.
Thus, the above Transactions are material transactions that
are not required to use Appraisal and obtain of General
Meeting of Shareholders approval in accordance with the
requirements stipulated in Article 11 points b and c POJK
Number 17/POJK.04/2020 concerning Material Transactions
and Changes in Business Activities because the transaction
received directly from the bank and a transaction providing
guarantees to the bank.
