Uraian Informasi atau Fakta Material Berdasarkan Laporan Informasi atau Fakta Material No.
030/HFI/II/2026 tanggal 3 Februari 2026, Perseroan
berencana untuk melakukan pembelian saham milik AGI pada
PSI sebagaimana dimaksud dalam Perjanjian Jual Beli Saham
Bersyarat tanggal 3 Februari 2026 (PPJB).
Sesuai dengan perkembangan terakhir, Perseroan
memutuskan untuk tidak melanjutkan rencana pembelian
saham milik AGI pada PSI setelah mempertimbangkan
manfaat dari pembelian saham tersebut terhadap going
concern Perseroan. Saat ini, para pihak dalam PPJB sedang
menyelesaikan proses administrasi atas pengakhiran PPJB
tersebut
Dampak kejadian, informasi atau fakta Pembatalan rencana transaksi tidak memberikan dampak
material tersebut terhadap kegiatan material terhadap kegiatan operasional Perseroan yang
operasional, hukum, kondisi keuangan, sedang berjalan. Perseroan tetap menjalankan kegiatan
atau kelangsungan usaha Emiten atau usahanya dan secara paralel melakukan evaluasi terhadap
Perusahaan Publik peluang pengembangan usaha ke depan.

Update on the Company's plan to purchase shares owned by
Type of Material Information or Facts PT Anaga Group Indonesia (AGI) in PT Poseidon Shipping
Indonesia (PSI).
Description of Material Information or Referring to the Material Information or Facts Report No.
Facts 030/HFI/II/2026 dated 3 February 2026, the Company
announced its plan to purchase shares owned by AGI in PSI
as set out in the Conditional Share Sale and Purchase
Agreement dated 3 February 2026 (CSPA).
Based on latest developments, the Company has decided not
to proceed with the planned purchase of shares owned by AGI
in PSI after considering the benefits of such acquisition to the
Companys going concern. The termination of CSPA is
currently in the process administrative completion by the
parties.
Impact of event, material information or The cancellation of the planned transaction does not have a
facts towards Issuers or Public material impact on the Companys ongoing operational
Company’s operational activities, legal, activities. The Company continues to operate its business
financial condition, or going concern while evaluating potential business development opportunities
going forward
