Uraian Informasi atau Fakta Material Merujuk kepada hasil keputusan RUPSLB dan Keterbukaan
Infromasi pada tanggal 24 Mei 2023 dan Perubahan dan/atau
Tambahan Keterbukaan Informasi tanggal 26 Juni 2023,
obyek transaksi penjualan saham ini adalah saham ACI
sebanyak 15.904 (lima belas ribu sembilan ratus empat)
saham atau 69,15% (enam puluh sembilan koma lima belas
persen) dari seluruh modal yang telah ditempatkan dan disetor
dalam ACI yang dimiliki Perseroan.
Pelaksanaan Transaksi Material ini telah disetujui oleh para
Pemegang Saham Independen Perseroan dalam Rapat
Umum Pemegang Saham Luar Biasa (RUPSLB) tanggal 30
Juni 2023 sebagaimana yang termuat dalam Akta Pernyataan
Keputusan Rapat PT Prasidha Aneka Niaga Tbk Nomor 79
tanggal 30 Juni 2023 yang dibuat oleh Dr. Ir. Yohanes Wilion,
SE, SH, MM, Notaris di Jakarta.
Transaksi penjualan seluruh saham Perseroan di ACI telah
diselesaikan dengan nilai transaksi sebesar Rp
409.243.063.907,- (empat ratus sembilan miliar dua ratus
empat puluh tiga juta enam puluh tiga ribu sembilan ratus tujuh
Rupiah) berdasarkan Akta Jual Beli Saham nomor 196 tanggal
28 Juli 2023 yang dibuat oleh Christina Dwi Utami, SH,
M.Hum, M.Kn, Notaris di Kota Administrasi Jakarta Barat

Dampak kejadian, informasi atau fakta -Kegiatan Operasional : Transaksi tidak merubah segmen atau
material tersebut terhadap kegiatan kegiatan usaha Perseroan serta tidak ada dampak atas
operasional, hukum, kondisi keuangan, penjualan saham ACI yang dapat mengganggu kegiatan
atau kelangsungan usaha Emiten atau usaha Perseroan
Perusahaan Publik
-Hukum : Dengan telah ditandatanganinya dokumen
pengalihan saham tersebut maka hak dan kewajiban atas
saham ACI tersebut beralih kepada Pihak Pembeli.
-Kondisi keuangan, atau kelangsungan usaha Emiten atau
Perusahaan Publik : Perseroan berkeyakinan struktur dan
kinerja keuangan Perseroan dapat menjadi lebih baik dengan
telah lunasnya seluruh hutang bank serta meningkatkan
ekuitas Perseroan

Report on the Results of the Implementation of Material
Type of Material Information or Facts Transactions on the Sale of all of the Company's shares in PT
Aneka Coffee Industry
Description of Material Information or Referring to the resolutions of the EGMS and Disclosure of
Facts Information on 24 May 2023 and Amendments and/or
Additional Disclosures of Information dated 26 June 2023, the
object of this share sale transaction is ACI shares totaling
15,904 (fifteen thousand nine hundred and four) shares or
69.15% (sixty nine point fifteen percent) of the total capital that
has been placed and paid up in ACI owned by the Company.
The implementation of this Material Transaction was approved
by the Company's Independent Shareholders at the
Extraordinary General Meeting of Shareholders (EGMS) dated
30 June 2023 as contained in the Deed of Statement of
Meeting Resolutions of PT Prasidha Aneka Niaga Tbk Number
79 dated 30 June 2023 made by Dr. Ir. Yohanes Wilion, SE,
SH, MM, Notary in Jakarta.
The sale transaction of all of the Company's shares in ACI has
been completed with a transaction value of IDR
409,243,063,907,- (four hundred nine billion two hundred forty
three million sixty three thousand nine hundred and seven
Rupiah) based on the Deed of Sale and Purchase of Shares
number 196 dated 28 July 2023 made by Christina Dwi Utami,
SH, M.Hum, M.Kn, Notary in West Jakarta Administrative City

Impact of event, material information or -Operational Activities : The transaction does not change the
facts towards Issuers or Public Company's segments or business activities and there is no
Company’s operational activities, legal, impact on the sale of ACI shares which could disrupt the
financial condition, or going concern Company's business activities
-Law : With the signing of the share transfer document, the
rights and obligations for the ACI shares are transferred to the
Purchaser.
- Financial condition or business continuity of the Issuer or
Public Company : The company believes that the structure
and financial performance of the company can be better by
paying off all bank loans and increasing the company's equity
