Sebagaimana disampaikan sebelumnya, Rencana Akuisisi tunduk dengan syarat dan ketentuan yang akan dituangkan dalam Perjanjian Jual Beli (SPA) definitif yang akan ditandatangani antara Para Pihak. certain Shareholders of ine Company (Sellers) (together with the Purchaser, Parties) in the amount of 1,785,682,245 shares representing approximately 42.975 of the entire shares issued and paid-up capital of the Company, which has been previously announced in Media Indonesia newspaper on 28 July 2023, the indicative price is IDR 226 per share, with the definitive price to be set out in the SPA referred to below (the entry into of which is subject to the reguisite regulatory and internal approvals being obtained, negotiation of mutually acceptable binding transaction documentation and satisfactory due diligence). As announced previously, the Acguisition Plan is subject to terms and conditions to be set out in a definitive Sale and Purchase Agreement (SPA) that will be entered into between the Parties. 4.
