connection with the proposed acquisition of the
Company’s shares.

3. Uraian Informasi atau Fakta Perseroan menerima pemberitahuan tertulis dari
Material / Description of Information or GEO pada 27 Juli 2023 sehubungan dengan rencana
Material Facts pengambilalihan 1.847.530.696 lembar saham
Perseroan atau sekitar 58,65% dari seluruh saham
yang diterbitkan dan disetor penuh pada PT Golden
Eagle Energy Tbk dari MTP, pemegang saham
pengendali. Masing-masing pihak telah
menandatangani Perjanjian Jual Beli Bersyarat
(“CSPA”) pada 26 Juli 2023. Rencana
pengambilalihan ini tunduk pada Peraturan Otoritas
Jasa Keuangan No. 9/POJK.04/2018 (“POJK
9/2018”).
The Company received written notification on July
27, 2023, from GEO regarding the plan to acquire
1,847,530,696 shares of the Company, or
approximately 58.65% of all issued and fully paid
shares in PT Golden Eagle Energy Tbk from MTP,
the controlling shareholder. Each party signed a
Conditional Sale and Purchase Agreement
("CSPA") on July 26, 2023. The proposed
acquisition is subject to Financial Services
Authority Regulation No. 9/POJK.04/2018 ("POJK
9/2018").
4. Dampak kejadian, informasi atau fakta Apabila rencana pengambilalihan sebagaimana
material tersebut terhadap kegiatan dinegosiasikan antara GEO dan MTP diselesaikan,
operasional, hukum, kondisi keuangan, maka GEO akan secara efektif menjadi pengendali
atau kelangsungan usaha Emiten / the Perseroan.

If the proposed acquisition, as negotiated between
GEO and MTP, is completed, GEO will effectively
become the controlling shareholder of the
Company.
Such information and material facts will not have a
significant impact on the Company's operational,
legal, financial, or going concern.
The Company also does not foresee that the
material information or facts mentioned will
prejudice the rights of its shareholders.
