ALFA TOWER— Description of Material Information or oleh Perseroan No. 047/SAT/CS/12-2025 perihal Rencana Pembelian Kembali Saham dalam Kondisi Pasar yang Berfluktuasi Secara Signifikan pada Tanggal 5 Desember 2025, Perseroan telah menyampaikan rencana untuk melakukan pembelian kembali saham Perseroan mulai tanggal 8 Desember 2025 — 6 Maret 2026 dengan jumlah nilai Pembelian Kembali Saham adalah sebanyak- banyaknya sebesar Rp1.500.000.000.000.- (satu triliun lima ratus miliar Rupiah) atau maksimum sebanyak 650.000.000 lembar saham dengan ketentuan: Jl. Alfamart (H jumlah saham yang akan dibeli kembali tersebut tidak akan melebihi 20Y6 (dua puluh persen) dari modal ditempatkan dan disetor Perseroan, dan (ii) jumlah saham free float setelah pelaksanaan Pembelian Kembali Saham tidak akan menjadi kurang dari 7,546 (tujuh koma lima persen) dari modal ditempatkan dan disetor Perseroan Biaya tersebut termasuk biaya pembelian kembali saham, komisi pedagang perantara serta biaya lain berkaitan dengan Pembelian Kembali Saham. Selama Periode Pembelian Kembali Saham, Perseroan telah melakukan Pembelian Kembali Saham sebanyak 432.669.000 lembar saham dengan jumlah dana sebesar Rp812.464.232.605. Referring to the Information Disclosure submitted by the Company through letter No. 047/SAT/CS/12-2025 regarding the Share Buyback Plan under Significantly Fluctuating Market Conditions dated December 5, 2025, the Company announced its intention to implement a share buyback program during the period of December 8, 2025 to March 6, 2026, with total value of the Share Buyback is up to Rp1,500,000,000,000.- (one trillion five hundred billion Rupiah) or maximum af 650,000,000 shares provided that: (D the number of shares to be bought back will not exceed 2096 (twenty percent) of ihe Company's issued and paid-up capital: and (ii) the number of.jree float shares after completion of the Share Buyback will not be less than 7.516 (seven point five percent) of the Company 's issued and paid-up capital. The aforementioned amount includes cost includes the cost Of buying back shares, brokerage commissions and other costs related to the Share Buyback.
