Uraian Informasi atau Fakta Material A. Objek Transaksi Afiliasi
Obyek transaksi adalah penempatan dana pada escrow
account sebagai uang muka untuk pembelian saham di masa
yang akan datang oleh Perseroan kepada KB Bufin untuk
tahap kedua.
B. Nilai TransaksiAfiliasi
Berdasarkan surat No. 15759/DlR/Xl/2022 tanggal 2
November 2022 perihal Laporan Transaksi Afiliasi PT. Bank
KB Bukopin, Tbk, perseroan telah melakukan transaksi
Penempatan dana pertama dengan nilai transaksi sebesar
Rp.250.000.000.000,- (dua ratus lima puluh miliar rupiah) dan
penempatan dana tahap kedua dengan nilai transaksi yang
diberikan sebesar Rp.342.900.000.000,- (tiga ratus empat
puluh dua miliar sembilan ratus juta rupiah) pada rekening giro
(escrow) atas nama KB Bufin di Perseroan yang telah
ditransaksikan pada hari Selasa tanggal 27 Juni 2023.
C. Nama pihak-pihak yang melakukan Transaksi Afiliasi
dengan Perseroan
-lnvestee : PT. KB Bukopin Finance (KB Bufin).
-lnvestor : PT. Bank KB Bukopin, Tbk (Perseroan).
-Pemegang Saham Mayoritas lnvestee : PT. Bank KB
Bukopin, Tbk (Perseroan).
D. Sifat Hubungan Afiliasi
Perseroan merupakan pemegang saham pengendali dari KB
Bufin, dengan memegang sebanyak 39.653 lembar Saham,
yang mewakili 97,03% (sembilan puluh tujuh koma nol tiga
persen) dari seluruh saham yang telah dikeluarkan dan disetor
penuh KB Bufin.
Berdasarkan Peraturan Otoritas Jasa Keuangan No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan pasal 1 ayat 1 point d menyatakan
bahwa "Hubungan afiliasi adalah hubungan antara
perusahaan dan pihak, baik langsung maupun tidak langsung,
mengendalikan atau dikendalikan oleh perusahaan tersebut,
sehingga dapat disimpulkan bahwa sifat hubungan antara
Perseroan dengan KB Bufin adalah mempunyai hubungan
afiliasi, dimana perseroan sebagai pemegang saham
mayoritas dan pemegang saham pengendali dari KB Bufin
yang merupakan perusahaan anak Perseroan.

operasional, hukum, kondisi keuangan,

Description of Material Information or A. Affiliate Transaction Object
Facts The object of the transaction is the placement of funds in an
escrow account as advance for future stocks subscriptions by
the Company to KB Bufin forthe second stage.
B. Affiliate Transaction Value
Based on letter No. 15759/DIR/XI/2022 dated 2 November
2022 regarding Affiliate Transaction Reports of PT. Bank KB
Bukopin, Tbk, the company has conducted the first fund
placement transaction with a transaction value of
IDR250,000,000,000.- (two hundred and fifty billion rupiah)
and the second stage of fund placement with a transaction
value provided of IDR342,900,000,000.- (three hundred forty-
two billion nine hundred million rupiah) in a current account
(escrow) in the name of KB Bufin at the Company which was
transacted on Tuesday 27 June 2023.
C. Names of parties conducting Affiliated Transactions with the
Company
-lnvestee : PT. KB Bukopin Finance (KB Bufin).
-lnvestors : PT. Bank KB Bukopin, Tbk (Company).
-Majority Shareholder of the lnvestee : PT. Bank KB Bukopin,
Tbk (Company).
D. Nature of Affiliate Relationships
The Company is the controlling shareholder of KB Bufin,
holding 39,653 shares, representin g 97 .03% (ninety seven
point zero three percent) of all issued and fully paid shares of
KB Bufin.
Based on the Financial Services Authority Regulation No.
42/POJK.04/2020 concerning Affiliated Transactions and
Conflict of lnterest Transactions article 1 paragraph 1 point d
states that "Affiliation relationship is a relationship between a
company and a party, either directly or indirectly, controlling or
being controlled by the company, so it can be concluded that
the nature of the relationship between the Company and KB
Bufin is an affiliated relationship, where the company is the
majority shareholder and the controlling shareholder of KB
Bufin which is a subsidiary company of the Company.
