Uraian Informasi atau Fakta Material A. Objek TransaksiAfiliasi
Obyek transaksi adalah dana setoran modal kepada KBBS.
B. Nilai Transaksi Afiliasi
Penempatan dana escrow account sebagai Dana Setoran
Modal dengan nilai transaksi yang diberikan sebesar
Rp.80.000.000.000,- (delapan puluh miliar rupiah) pada KBBS
telah ditransaksikan pada hari Selasa tanggal 27 Juni 2023.
C. Nama pihak-pihak yang melakukan Transaksi Afiliasi
dengan Perseroan
-lnvestee : PT. Bank KB Bukopin Syariah (KBBS).
-lnvestor : PT. Bank KB Bukopin, Tbk (Perseroan).
-Pemegang Saham Mayoritas lnvestee : PT. Bank KB
Bukopin, Tbk (Perseroan).
D. Sifat Hubungan Afiliasi
Perseroan merupakan pemegang saham pengendali dari
KBBS, dengan memegang sebanyak 16.420.000.000 lembar
Saham, yang mewakili 92,78% (sembilan puluh dua koma
tujuh ratus tujuh puluh delapan persen) dari seluruh saham
yang telah dikeluarkan dan disetor penuh KBBS. Berdasarkan
Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan pasal 1 ayat 1 point d menyatakan bahwa
"Hubungan afiliasi adalah hubungan antara perusahaan dan
pihak, baik langsung maupun tidak langsung, mengendalikan
atau dikendalikan oleh perusahaan tersebut, sehingga dapat
disimpulkan bahwa sifat hubungan antara Perseroan dengan
KBBS adalah mempunyai hubungan afiliasi, dimana perseroan
sebagai pemegang saham mayoritas dan pemegang saham
pengendali dari KBBS yang merupakan perusahaan anak
Perseroan.

Facts The object of the transaction is the capital deposit fund to
KBBS.
B. Affiliate Transaction Value
Placement of escrow account funds as Capital Deposit Funds
with a transaction value of IDR 80,000,000,000 (eighty billion
rupiah) at KBBS was transacted on Tuesday,27 June 2023
C. Names of parties conducting Affiliated Transactions with the
Company
-lnvestee : PT. Bank KB Bukopin Syariah (KBBS).
-lnvestors: PT. Bank KB Bukopin, Tbk (Company).
-Majority Shareholder of the lnvestee : PT. Bank KB Bukopin,
Tbk (Gompany).
D. Nature of Affiliate Relationships
The Company is the controlling shareholder of KBBS, holding
16,420,000,000 shares, representing 92.78% (ninety two point
seven hundred and seventy eight percent) of all issued and
fully paid shares in KBBS.
Based on the Financial Services Authority Regulation No.
42/POJK.04/2020 concerning Affiliated Transactions and
Conflict of lnterest Transactions article 1 paragraph 1 point d
states that "Affiliation relationship is a relationship between a
company and a party, either directly or indirectly, controlling or
being controlled by the company, so it can be concluded that
the nature of the relationship between the Company and KBBS
is an affiliated relationship, where the company is the majority
shareholder and the controlling shareholder of KBBS which is
a subsidiary company of the Company.
