I. INTRODUCTION
Referring to OJK Regulation No. 29/2023, the Company hereby provides this Disclosure of Information
regarding the Plan for the Transfer of Shares Resulting from a Share Buyback.
During the period from 2021 to 2025, the Company conducted three share buyback programs with an
aggregate total of 324,365,400 shares, with the following details:
1. The first period comprised 167,596,800 (one hundred sixty-seven million five hundred ninety-
six thousand eight hundred) shares at an average price of Rp358 (three hundred fifty-eight
rupiah) per share. Of this amount, 28,491,400 (twenty-eight million four hundred ninety-one
thousand four hundred) shares have been transferred through the MESOP program.
2. The second period comprised 40,167,900 (forty million one hundred sixty-seven thousand
nine hundred) shares at an average price of Rp629 (six hundred twenty-nine rupiah) per share.
3. The third period comprised 116,600,700 (one hundred sixteen million six hundred thousand
seven hundred) shares at an average price of Rp347 (three hundred forty-seven rupiah) per
share.
Accordingly, the Company still holds 295,874,000 (two hundred ninety-five million eight hundred
seventy-four thousand) treasury shares that have not yet been transferred.
The Company intends to transfer a portion of its Treasury Shares through a sale on the Indonesia Stock
Exchange by way of the Negotiated Market mechanism, as referred to in Article 21 letter a of OJK
Regulation No. 29/2023. This Disclosure of Information is issued to comply with the provisions of
Article 35 paragraph (1) of OJK Regulation No. 29/2023.
II. PLAN FOR THE TRANSFER OF SHARES RESULTING FROM THE SHARE BUYBACK
The transfer of the Treasury Shares will be carried out through the Indonesia Stock Exchange by way
of the Negotiated Market mechanism, in accordance with the applicable laws and regulations in the
capital market sector.
