                                              Establishment of a Joint Venture Company

 Description of Material Information or       PT Dharma Polimetal Tbk ("the Company") has entered into a

                                              Indonesia ("DMI")

                                              DMI was established with an authorized capital of
                                              Rp180000000000 of which Rp45000000000 has been issued

                                              The shareholding composition consists of 51% owned by
                                              Talentlink Development Ltd and 49% owned by PT Dharma
                                              Polimetal Tbk

                                              The establishment of this joint venture is part of the Company's
                                              efforts to expand its automotive components business and
                                              enhance its capabilities in supporting the needs of the four
                                              wheel automotive industry

                                              PT Dharma Minth Indonesia will engage in the manufacturing
                                              of automotive components for four wheel vehicles with
                                              products including battery housings, body chassis structures
                                              utilizing aluminium extrusion, and plastic component design
