informasi atau fakta material sebagai berikut:
INFORMASI ATAU FAKTA MATERIAL

Tanggal kejadian 14 September 2026, yaitu tanggal Perseroan menerima
informasi dari PT Rama Indonesia yang menjadi dasar
penyampaian keterbukaan informasi ini.
Jenis informasi atau fakta material Informasi mengenai profil, dukungan, dan rencana strategis
PT Rama Indonesia sebagai pemegang saham pengendali
baru Perseroan.
Uraian informasi atau fakta material 1. PT Rama Indonesia merupakan bagian dari Unirama
Group, kelompok usaha yang bergerak dalam penyediaan
solusi rantai pasok dan distribusi barang konsumsi (Fast-
Moving Consumer Goods atau FMCG) di Indonesia.
Unirama Group memiliki pengalaman dalam proses
pengadaan sampai dengan distribusi produk serta
didukung jaringan distribusi, infrastruktur pergudangan,
dan jangkauan operasional di berbagai wilayah Pulau
Jawa.

Uraian Keterangan
2. Perseroan pada tahun 2026 memiliki rencana untuk
melakukan ekspansi dengan rencana belanja modal sekitar
Rp100 miliar dan sasaran peningkatan EBITDA rata-rata
sekitar 7,75% per tahun untuk periode 2027 sampai
dengan 2030. Pelaksanaan rencana tersebut akan tunduk
pada evaluasi, ketersediaan pendanaan, persetujuan organ
Perseroan dan/atau regulator apabila dipersyaratkan, serta
kondisi usaha pada saat pelaksanaan.
3. Sehubungan dengan kebakaran pada fasilitas operasional
Perseroan di Pati tanggal 6 Juni 2026, PT Rama Indonesia
menyatakan dukungan terhadap keberlanjutan kegiatan
usaha Perseroan. Dukungan tersebut diarahkan pada
percepatan pemulihan fasilitas terdampak, optimalisasi
fasilitas operasional lainnya, penguatan rantai pasok, serta
upaya menjaga pelayanan dan pemenuhan kebutuhan
pelanggan.
4. Proses klaim asuransi masih dalam tahap finalisasi.
Berdasarkan perkembangan pembahasan dengan pihak
asuransi, manajemen berkeyakinan bahwa klaim dapat
direalisasikan sebesar 100% dari nilai klaim yang telah
diajukan dan disepakati.
Dampak kejadian, informasi, atau fakta Informasi ini memberikan gambaran kepada pemegang
material saham dan masyarakat mengenai latar belakang pemegang
saham pengendali baru serta arah dukungan strategis bagi
pemulihan dan pengembangan kegiatan usaha Perseroan.
Rencana belanja modal, sasaran pertumbuhan, dan realisasi
klaim asuransi merupakan pernyataan berwawasan ke depan
yang pelaksanaannya tetap bergantung pada hasil evaluasi,
persetujuan yang diperlukan, kondisi usaha, ketersediaan
pendanaan, dan penyelesaian proses klaim.
Demikian keterbukaan informasi ini kami sampaikan. Perseroan akan menyampaikan informasi lebih
lanjut kepada publik apabila terdapat perkembangan material sesuai dengan ketentuan peraturan
perundang-undangan yang berlaku.

Material Fact of PT Rama Indonesia as the Company’s new controlling
shareholder
Description of Material Information or 1. PT Rama Indonesia is part of the Unirama Group, a
Material Fact business group engaged in providing supply chain and
distribution solutions for Fast-Moving Consumer Goods
(“FMCG”) in Indonesia. Unirama Group has extensive
experience in activities ranging from product procurement
to distribution and is supported by a distribution network,
warehousing infrastructure, and operational coverage
across various regions of Java.

Description Details
2. In 2026, the Company plans to undertake business
expansion, including planned capital expenditures of
approximately Rp100 billion, with a target of achieving
an average annual increase in EBITDA of approximately
7.75% for the period from 2027 to 2030. The
implementation of these plans will remain subject to
further evaluation, the availability of funding, approval
from the Company's relevant corporate organs and/or the
relevant regulatory authorities, where required, as well as
prevailing business conditions at the time of
implementation.
3. In connection with the fire that occurred at the Company's
operational facility in Pati on 6 June 2026, PT Rama
Indonesia has expressed its support for the continuity of
the Company's business operations. Such support is
intended to facilitate the accelerated recovery of the
affected facilities, optimize other operational facilities,
strengthen the Company's supply chain, and maintain
services and fulfill customer needs.
4. The insurance claim process is currently in the finalization
stage. Based on the progress of discussions with the
insurance company, management believes that the claim
can be realized in full, representing 100% of the claim
amount submitted and agreed upon.
Impact of the Event, Information, or This information provides shareholders and the public with
Material Fact an overview of the background of the Company's new
controlling shareholder and the direction of its strategic
support for the recovery and further development of the
Company's business operations. The planned capital
expenditures, growth targets, and realization of the insurance
claim constitute forward-looking statements, the
implementation and realization of which remain subject to
the results of further evaluation, the requisite approvals,
prevailing business conditions, availability of funding, and
completion of the insurance claim process.
The Company hereby submits this disclosure of information. The Company will provide further
information to the public should there be any further material developments, in accordance with the
provisions of the prevailing laws and regulation.
