concerning Disclosure of Material Information or Facts by Issuers or Public Companies, as amended
from time to time, and the Decree of the Board of Directors of PT Bursa Efek Indonesia No. Kep-
00087/BEI/12-2025 concerning the Amendment to Regulation No. I-E on the Obligation to Submit
Information, PT Idea Indonesia Akademi Tbk (the “Company”) hereby submits the following Report on
Material Information or Facts:

3 Uraian Informasi atau Fakta Menindaklanjuti surat PT Nawasena Nugra Investama No.
Material 001/NNI/DIR/IX/2026 tanggal 16 September 2026 mengenai
Pengumuman Negosiasi Rencana Pengambilalihan PT Idea
Indonesia Akademi Tbk, dengan ini kami menyampaikan
bahwa PT Nawasena Nugra Investama (“Pembeli”)
berencana untuk melakukan pengambilalihan atas saham-
saham Perseroan yang saat ini dimiliki oleh (a) Eko
Desriyanto dan (b) PT Idea Asia Investama, dengan jumlah
saham yang akan diambilalih sebanyak 707.322.700 (tujuh
ratus tujuh juta tiga ratus dua puluh dua ribu tujuh ratus)
saham, atau setara dengan sebanyak 66,58% (enam puluh
enam koma lima delapan persen) dari total modal
ditempatkan dan disetor penuh dalam Perseroan (“Rencana
Pengambilalihan”).
Sampai dengan tanggal pengumuman informasi ini, Pembeli
belum memiliki saham Perseroan, baik secara langsung
maupun tidak langsung.
Setelah pelaksanaan Rencana Pengambilalihan atas
Perseroan, Pembeli akan menjadi pengendali baru
Perseroan dan selanjutnya akan melaksanakan Penawaran
Tender Wajib sesuai dengan ketentuan Peraturan Otoritas
Jasa Keuangan No. 9/POJK.04/2018 tentang
Pengambilalihan Perusahaan Terbuka. Rencana
Pengambilalihan maupun pelaksanaan Penawaran Tender
Wajib akan dilaksanakan dengan tetap mengacu dan tunduk
pada ketentuan peraturan perundang-undangan yang
berlaku, termasuk peraturan di bidang pasar modal.
Description of Material Pursuant to the letter of PT Nawasena Nugra Investama No.
Information or Facts 001/NNI/DIR/IX/2026 dated 16 September 2026 regarding
the Announcement of Negotiations in connection with the
Proposed Acquisition of PT Idea Indonesia Akademi Tbk, we
hereby inform that PT Nawasena Nugra Investama (the
“Buyer”) intends to acquire shares in the Company currently
owned by (a) Eko Desriyanto and (b) PT Idea Asia
Investama, with the number of shares to be acquired
amounting to 707,322,700 (seven hundred seven million
three hundred twenty-two thousand seven hundred) shares,
representing 66.58% (sixty-six point five eight percent) of the
total issued and fully paid-up capital of the Company (the
“Proposed Acquisition”).
As of the date of this announcement, the Buyer does not hold
any shares in the Company, either directly or indirectly.

Upon completion of the Proposed Acquisition, the Buyer will
become the new controlling shareholder of the Company
and will subsequently conduct a Mandatory Tender Offer in
accordance with the provisions of Financial Services
Authority Regulation No. 9/POJK.04/2018 concerning the
Acquisition of Public Companies. The Proposed Acquisition
and the implementation of the Mandatory Tender Offer will
be carried out in compliance with the prevailing laws and
regulations, including regulations applicable to the capital
markets.
