 Type of Material Information or Facts

 Description of Material Information or       I.       PT Sinar Mas Multiartha Tbk ("SMMA"), PT Bank
 Facts                                        SMBC Indonesia Tbk ("SBI"), and PT Summit Auto Group
                                              ("SAG") have executed Circular Resolutions in lieu of
                                              Extraordinary General Meetings of Shareholders for PT Oto
                                              Multiartha ("OM") and PT Summit Oto Finance ("SOF"),
                                              approving the merger plan between OM and SOF, wherein
                                              SOF will be the surviving company (the "Merger of OM and
                                              SOF").

                                              Concurrently with the Merger of OM and SOF, SMMA will
                                              increase its shareholding to 15% to comply with the minimum
                                              local shareholding requirements stipulated in Financial
                                              Services Authority Regulation (POJK) Number 47 of 2020.

                                              SMMA will acquire 19,868 Series A shares issued by SOF,
                                              with a total value of Rp9,934,000,000 (nine billion nine
                                              hundred thirty-four million Rupiah).

                                              II.      The value of the additional capital injection
                                              transaction does not exceed 20% of the Company's equity;
                                              therefore, the transaction is not classified as material.

                                              III.      The transaction was executed on Monday,
                                              September 21, 2026.
