9 Permata Bank Description of Material Fact or Information Notaris di Jakarta Selatan (“Akta Jual Beli Saham”), dengan Bapak Tay Yao Nan (“Pembeli”) atas 57.379 (lima puluh tujuh ribu tiga ratus tujuh puluh sembilan) lembar saham atau sebesar 15,074 (lima belas koma nol tujuh persen) dari seluruh modal ditempatkan dan disetor penuh dalam PT Honest Financial Technologies. Nilai keseluruhan atas transaksi sebesar Rp 77.559194.300 (tujuh puluh tujuh miliar lima ratus lima puluh sembilan juta seratus sembilan puluh empat ribu tiga ratus rupiah). Bahwa, memperhatikan Peraturan OJK Nomor 22 Tahun 2022 tentang Kegiatan Penyertaan Modal oleh Bank Umum, Otoritas Jasa Keuangan melalui Surat Nomor S-192/PB.33/2026 tanggal 24 September 2026 telah mencatat dalam administrasi pengawasan Otoritas Jasa Keuangan perihal Rencana Divestasi Saham PT Bank Permata Tbk di PT Honest Financial Technologies. In connection with the divestment of the Company's entire shareholding in PT Honest Financial Technologies, on 29 September 2026, the Company (the “Seller”) executed Deed of Share Sale and Purchase No. 82, drawn up before Aulia Taufani, Bachelor of Laws, Notary in South Jakarta (“Deed of Share Sale and Purchase”), with Mr. Tay Yao Nan (the “Buyer”), for the sale of 57,379 (fifty-seven thousand three hundred seventy-nine) shares or representing 15.072 (fifteen point zero seven percent) of the total issued and fully paid-up capital of PT Honest Financial Technologies. The total value of the transaction is IDR 77,559,194,300 (seventy-seven billion five hundred fifty-nine million one hundred ninety-four thousand three hundred rupiah). Whereas, with due regard to the OJK Regulation No. 22 of 2022 concerning Eguity Participation Activities by Commercial Banks, Otoritas Jasa Keuangan has recorded in its supervisory administration regarding the Share Divestment Plan of PT Bank Permata Tbk in PT Honest Financial Technologies through Letter Number S-192/PB.33/2026 dated 24 September 2026. 4.
