Description of Material Information or Facts TENTANG PENGGUNAAN DANA HASIL PENAWARAN UMUM dan No.
42 TAHUN 2020 TENTANG TRANSAKSI AFILIASI DAN TRANSAKSI
BENTURAN KEPENTINGAN, dan sudah disetujui pada RUPST Tahun
Buku 2025, Perseroan melakukan pembayaran bunga pinjaman
kepada pemegang saham pengendali, Ruhong Holding PTE. LTD
dengan detail sebagai berikut :
Loan Agreement : Loan Agreement / 19 May 2025
Principal Amount : IDR 55.000.000.000
Bunga Pinjaman : 6% per tahun
Periode Bunga : Agustus - Desember 2025
Nominal Bunga : IDR 1.375.000.000
Potongan PPh 26 : IDR 137.500.000
Nilai Bunga yang dibayarkan : IDR 1.237.500.000 ekivalen USD
69,734.02 sesuai dengan Invoice Ruhong Holding PTE LTD #0001
tanggal 1 September 2026.
Selisih IDR 13.000.193 adalah selisih kurs saat transaksi pembayaran
bunga pinjaman.
In compliance with OJK Regulation No. 40 of 2025 concerning the Use
of Proceeds from Public Offerings and OJK Regulation No. 42 of 2020
concerning Affiliated Transactions and Transactions with Conflicts of
Interest, and pursuant to the approval granted at the Company’s
Annual General Meeting of Shareholders for the 2025 financial year,
the Company has made an interest payment in respect of the loan
provided by its Controlling Shareholder, Ruhong Holding PTE. LTD. The
details of the payment are as follows:
Loan Agreement : Loan Agreement / 19 May 2025
Principal Amount : IDR 55.000.000.000
Interest Rate : 6% per annum
Interest Period : August - Desember 2025
Interest Amount : IDR 1.375.000.000
Tax Withholding (PPh 26) : IDR 137.500.000
Net Amount Pay : IDR 1.237.500.000 equivalent USD 69,734.02
in accordance with Invoice No. 0001 issued by Ruhong Holding PTE
LTD dated September 1, 2026.
The difference of IDR 13,000,193 represents the foreign exchange
difference arising from the loan interest payment transaction.
