Material atas Transaksi Pembelian 1 (satu) unit Kapal Anchor
Handling Tug Supply (AHTS)
Uraian Informasi atau Fakta Material Pada tanggal 30 Oktober 2024, Perseroan telah
menandatangani perjanjian pembelian kapal dengan Great
Union China Limited (Transaksi Pembuatan 1 Unit Kapal
AHTS) senilai USD12.100.000 (dua belas juta seratus ribu
Dolar Amerika Serikat). Saat ini Perseroan telah melakukan
serah terima kapal dari Great Union China Limited dan siap
beroperasi.
Transaksi Pembelian /Pembuatan Kapal tersebut dilakukan
dengan Great Union China Limited bukan merupakan pihak
terafiliasi Perseroan dan memiliki nilai transaksi sebesar
USD12.100.000 atau sebesar 31,8% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Perseroan untuk periode 12
(dua belas) bulan yang berakhir pada tanggal 31 Desember
2024 yang telah diaudit oleh Kantor Akuntan Publik Hertanto,
Grace & Karunawan dalam Laporan No
00038/2.1000/AU.1/05/0136-5/1/III/2025 tanggal 24 Maret
2025, Ekuitas Perseroan tercatat sebesar USD38 juta (tiga
puluh delapan juta dollar Amerika Serikat), sehingga tidak
memerlukan persetujuan dari Rapat Umum Pemegang
Saham.
Perseroan telah menunjuk Kantor Jasa Penilai Publik
Rengganis, Hamid & Rekan untuk memberikan pendapat
sebagai penilai independent atas nilai pasar 1 (satu) unit
Anchor Handling Tug Supply (AHTS) yang dibeli Perseroan.
Hasil penilaian kapal AHTS tersebut adalah sebesar IDR
230.911.000.000 atau setara USD 13.006.872 dengan kurs
1USD=17.753 per tanggal 18 September 2026.

material tersebut terhadap kegiatan Pembelian kapal Anchor Handling Tug Supply (AHTS) ini
operasional, hukum, kondisi keuangan, dilakukan untuk menambah armada serta meningkatkan
atau kelangsungan usaha Emiten atau pendapatan sewa pada kegiatan operasional di bisnis kapal
Perusahaan Publik penunjang lepas pantai.
Dampak Aspek Keuangan.
Dengan pembelian kapal, aset Perseroan akan meningkat
sebesar USD 12.100.000 dan utang Perseroan akan
meningkat sesuai dengan kredit investasi yang diberikan oleh
PT Bank IBK sebesar Rp 120.000.000.000 (ekualisasi USD
7.260.000). Dengan adanya penambahan kapal, pendapatan
Perseroan diharapkan dapat meningkat sehingga dapat
meningkatkan keuangan Perseroan.
Dampak Aspek Hukum atas Kelangsungan Usaha Emiten.
Saat ini tidak ada dampak material dari kejadian, informasi,
atau fakta material tersebut terhadap hukum dan
kelangsungan usaha Perseroan.

Anchor Handling Tug Supply (AHTS) Vessel
Description of Material Information or On October 30, 2024, the Company signed a vessel purchase
Facts agreement with Great Union China Limited (the AHTS Vessel
Construction Transaction) valued at USD 12,100,000 (twelve
million one hundred thousand US Dollars). The Company has
since taken delivery of the vessel from Great Union China
Limited, and it is ready for operation.
The transaction for the purchase/construction of the vessel
involves Great Union China Limited, which is not an affiliate of
the Company and has a value of USD 12,100,000,
representing 31.8% of the Companysequity. Based on the
Companys financial statements for the twelve-month period
ending December 31, 2024, audited by the Public Accounting
Firm Hertanto, Grace & Karunawan (Report No.
00038/2.1000/AU.1/05/0136-5/1/III/2025 dated March 24,
2025), the Companys equity is recorded at USD 38 million
(thirty eight million US dollars), so it does not require approval
from the General Meeting of Shareholders.
The Company has appointed the Public Appraisal Firm
Rengganis, Hamid & Rekan to provide an opinion, acting as an
independent appraiser, regarding the market value of one
Anchor Handling Tug Supply (AHTS) unit purchased by the
Company. The appraised value of the AHTS vessel is IDR
230,911,000,000, equivalent to USD 13,006,872 based on an
exchange rate of USD 1 = IDR 17,753 as of September 18,
2026.

Company’s operational activities, legal, vessel is intended to expand the fleet and increase charter
financial condition, or going concern revenue from operations within the offshore support vessel
business.
Impact of Financial Condition.
With the purchase of the vessel, the Companys assets will
increase by USD 12,100,000, and its liabilities will rise in line
with the investment loan provided by PT Bank IBK, amounting
to IDR 120,000,000,000 (equivalent to USD 7,260,000). The
addition of the vessel is expected to boost the Companys
revenue, thereby strengthening its financial position.
Impact of Laws Aspects on Issuers Business Continuity.
Currently, there is no material impact of this event, information,
or material facts on the law and the business continuity of the
Company.
