Perseroan PT Summit Oto Finance dari Kementerian Hukum
terkait penggabungan dan perubahan Anggaran Dasar
sebagai berikut:

2. PT Summit Auto Group = 2.738.538 (34%)
3. PT Sinar Mas Multiartha Tbk = 1.208.719 (15%)
Dampak kejadian, informasi atau fakta Sebagai akibat dari penggabungan, maka sejak Tanggal
material tersebut terhadap kegiatan Efektif Penggabungan:
operasional, hukum, kondisi keuangan, a. Seluruh asset, liabilitas, dan ekuitas dari PT Oto Multiartha
atau kelangsungan usaha Emiten atau beralih karena hukum kepada Perseroan;
Perusahaan Publik b. Seluruh pemegang saham PT Oto Multiartha karena hukum
menjadi pemegang saham Perseroan; berdasarkan tata cara
penilaian dan konversi saham yang telah di atur di dalam
Rancangan Penggabungan; dan
c. Status badan hukum PT Oto Multiartha akan berakhir sesuai
dengan ketentuan peraturan yang berlaku.

the merger and the amendment to the Articles of Association,
as follows:

Impact of event, material information or As a result of the Merger, as of the Effective Date of the
facts towards Issuers or Public Merger:
Company’s operational activities, legal, a. All assets, liabilities, and equity of PT Oto Multiartha shall be
financial condition, or going concern transferred by operation of law to the Company;
b. All shareholders of PT Oto Multiartha shall, by operation of
law, become shareholders of the Company in accordance with
the share valuation and conversion procedures stipulated in
the Merger Plan; and
c. The legal entity status of PT Oto Multiartha shall terminate in
accordance with the provisions of applicable laws and
regulations.
