Uraian Informasi atau Fakta Material Pada tanggal 18 Juli 2025, Visionary Capital Global Pte. Ltd.
VCG dan pemegang saham mayoritas Perseroan, PT Dinasti
Kreatif Indonesia DKI, telah menandatangani Perjanjian Jual-
Beli Bersyarat. Selanjutnya, pada tanggal 30 September 2026,
VCG dan DKI telah menandatangani addendum atas
Perjanjian Jual-Beli Bersyarat tersebut. Perjanjian Jual-Beli
Bersyarat dan Addendumnya selanjutnya secara bersama
sama disebut sebagai PJBB.
Berdasarkan pemberitahuan yang sebelumnya disampaikan
oleh VCG pada tanggal 5 Oktober 2026 dan sebagai
pelaksanaan PJBB, pada tanggal 02 Oktober 2026, VCG telah
melaksanakan pengambilalihan sebanyak 2.030.032.377 (dua
miliar tiga puluh juta tiga puluh dua ribu tiga ratus tujuh puluh
tujuh) saham Perseroan dari DKI (selaku pengendali lama
Perseroan) dengan harga Rp20 (dua puluh Rupiah) per
saham, dengan total nilai transaksi sebesar Rp40.600.647.540
(empat puluh miliar enam ratus juta enam ratus empat puluh
tujuh ribu lima ratus empat puluh Rupiah) (Pengambilalihan).
Dengan diselesaikannya Pengambilalihan, VCG saat ini
memiliki 56,84% (lima puluh enam koma delapan puluh empat
persen) saham dalam Perseroan dan menjadi pengendali baru
Perseroan. Tujuan VCG melakukan Pengambilalihan adalah
untuk mendukung pengembangan usaha Perseroan yang
diharapkan dapat membuka
peluang sinergi dan kolaborasi antara Pengendali Baru dan
Perseroan dalam mengembangkan kegiatan usaha Perseroan,
sehingga dapat meningkatkan nilai Perseroan serta
memberikan prospek usaha yang lebih
baik di masa mendatang.
Terdapat hubungan afiliasi antara Pengendali Baru dengan
Perseroan sebagai berikut:
(i) Janni merupakan pemegang saham VCG dan pemegang
saham Perseroan;
(ii) Antonius Bobby Siswanto merupakan pemegang saham
dan Direktur VCG
dan pemegang saham dan Komisaris Utama Perseroan; dan
(iii) Agus Suhada merupakan pemegang saham VCG dan
Direktur Utama
Perseroan.
Dampak kejadian, informasi atau fakta Pengambilalihan menyebabkan adanya perubahan
material tersebut terhadap kegiatan pengendalian atas Perseroan sebagaimana dimaksud dalam
operasional, hukum, kondisi keuangan, Peraturan OJK No. 9/POJK.04/2018 tentang Pengambilalihan
atau kelangsungan usaha Emiten atau Perusahaan Terbuka (POJK
Perusahaan Publik 9/2018) dimana terdapat perubahan pengendali dari
sebelumnya DKI dan saat ini menjadi VCG. Sebagai
pengendali baru Perseroan, VCG menunjuk PT Artha Global
Trikanaka Investama sebagai pihak yang akan melaksanakan
penawaran tender wajib sesuai dengan ketentuan dalam
POJK 9/2018.

Description of Material Information or On July 18, 2025, Visionary Capital Global Pte. Ltd. (VCG) and
Facts PT Dinasti Kreatif Indonesia (DKI), the major shareholder of
the Company, entered into a Conditional Share Sale and
Purchase Agreement. Subsequently, on September 30, 2026,
VCG and DKI entered into an addendum to the Conditional
Share Sale and Purchase Agreement. The Conditional Share
Sale and Purchase Agreement and the addendum thereto
shall hereinafter be collectively referred to as the CSPA.
Pursuant to the notification previously submitted by VCG on
October 5, 2026, and in implementation of the CSPA, on
October 2, 2026, VCG completed the acquisition of
2,030,032,377 (two billion thirty million thirty-two thousand
three hundred seventy-seven) shares of the Company from
DKI, as the former controller of the Company, at a price of
Rp20 (twenty Rupiah) per share, with a total transaction value
of Rp40,600,647,540 (forty billion six hundred million six
hundred forty-seven thousand five hundred forty Rupiah) (the
Acquisition).
Upon completion of the Acquisition, VCG currently holds
56.84% (fifty-six point eighty-four percent) of the shares in the
Company and has become the new controller of the Company.
The purpose of the Acquisition by VCG is to support the
development of the Companys business, which is expected to
create opportunities for synergy and collaboration between the
New Controller and the Company in developing the Companys
business activities, thereby increasing the value of the
Company and providing better business prospects in the
future.
There are affiliated relationships between the New Controller
and the Company as follows:
(i) Janni is a shareholder of VCG and a shareholder of the
Company;
(ii) Antonius Bobby Siswanto is a shareholder and Director of
VCG and a shareholder and President Commissioner of the
Company; and
(iii) Agus Suhada is a shareholder of VCG and the President
Director of the Company.
Impact of event, material information or The Acquisition resulted in a change of control over the
facts towards Issuers or Public Company as referred to in OJK Regulation No.
Company’s operational activities, legal, 9/POJK.04/2018 concerning the Takeover of Public
financial condition, or going concern Companies (POJK 9/2018), whereby the controlling
shareholder has changed from DKI to VCG. As the new
controlling shareholder of the Company, VCG appoints PT
Artha Global Trikanaka Investama as the party who will
conduct the mandatory tender offer in accordance with the
provisions of POJK 9/2018.
