PENGUMUMAN DALAM RANGKA PELAKSANAAN PENAMBAHAN MODAL
TANPA HAK MEMESAN EFEK TERLEBIH DAHULU (“PMTHMETD”)
PT APEXINDO PRATAMA DUTA TBK (“PERSEROAN”)
Pengumuman ini dibuat dan dilakukan dalam rangka memenuhi (i) ketentuan Pasal 43A Peraturan Otoritas
Jasa Keuangan Nomor 32/POJK.04/2015 tentang Penambahan Modal Perusahaan Terbuka Dengan
Memberikan Hak Memesan Efek Terlebih Dahulu sebagaimana diubah dalam Peraturan Otoritas Jasa
Keuangan Nomor 14/POJK.04/2019 tentang Perubahan atas Peraturan Otoritas Jasa Keuangan Nomor
32/POJK.04/2015 tentang Penambahan Modal Perusahaan Terbuka Dengan Memberikan Hak Memesan Efek
Terlebih Dahulu (“POJK 14/2019”), dan (ii) Ketentuan VI.1. Peraturan Bursa Nomor I-A Lampiran II

perihal Pencatatan Saham Dan Efek Bersifat Ekuitas Selain Saham Yang Diterbitkan Oleh Perusahaan Tercatat
sebagaimana diubah berdasarkan Keputusan Direksi PT Bursa Efek Indonesia Nomor: Kep-00045/BEI/03-
2026 tanggal 31 Maret 2026 perihal Perubahan Peraturan Nomor I-A tentang Pencatatan Saham Dan Efek
Bersifat Ekuitas Selain Saham Yang Diterbitkan Oleh Perusahaan Tercatat, yang selanjutnya disebut
“Pengumuman”.
Pengumuman ini penting untuk diperhatikan oleh para pemegang saham Perseroan dan merupakan
pelaksanaan PMTHMETD yang telah mendapatkan persetujuan dari Rapat Umum Pemegang Saham Luar
Biasa (“RUPSLB”) Perseroan tertanggal 7 Oktober 2026.
Dewan Komisaris dan Direksi Perseroan baik secara sendiri-sendiri maupun bersama-sama bertanggung jawab
sepenuhnya atas kebenaran dan kelengkapan semua informasi atau fakta material yang dimuat dalam
Pengumuman ini. Dewan Komisaris dan Direksi Perseroan setelah melakukan penilaian yang wajar,
menegaskan bahwa tidak ada fakta penting dan relevan yang tidak dikemukakan yang dapat menyebabkan
informasi atau fakta material dalam Pengumuman ini menjadi tidak benar dan/atau menyesatkan.

Perseroan dengan ini mengumumkan bahwa Perseroan akan melaksanakan PMTHMETD, dalam rangka
perbaikan posisi keuangan sebagaimana dimaksud dalam Pasal 3 huruf (a) POJK 14/2019.
PMTHMETD dilakukan dengan menerbitkan sebanyak 218.090.317 saham baru seri B dengan nilai
nominal Rp325,00 (tiga ratus dua puluh lima Rupiah) per saham (“Saham-Saham Baru”) yang
penyetoran sahamnya dilakukan dengan mengkompensasikan hak tagih Kreditor Sindikasi Luar Negeri
terhadap Perseroan.

Jumlah saham tambahan yang akan dicatatkan adalah sebanyak 218.090.317 (dua ratus delapan belas juta
sembilan puluh ribu tiga ratus tujuh belas) lembar saham baru seri B, dengan harga pelaksanaan Rp325,00
(tiga ratus dua puluh lima Rupiah) per lembar saham. Penentuan harga pelaksanaan PMTHMETD tersebut
sesuai dengan ketentuan V.1.3 Lampiran II Surat Keputusan Direksi PT Bursa Efek Indonesia Nomor
Kep-00045/BEI/03-2026 tanggal 31 Maret 2026 perihal Perubahan Peraturan Nomor I-A tentang
Pencatatan Saham dan Efek Bersifat Ekuitas Selain Saham yang Diterbitkan oleh Perusahaan Tercatat.
Adapun jadwal pelaksanaan sebagai berikut:
1. Pelaksanaan PMTHMETD : 19 Oktober 2026
2. Pencatatan Saham-Saham Baru : 20 Oktober 2026
3. Pengumuman Hasil Pelaksanaan PMTHMETD : 21 Oktober 2026
Setelah pelaksanaan PMTHMETD, maka jumlah modal saham ditempatkan dan modal disetor Perseroan
akan meningkat dari 3.546.466.661 (tiga miliar lima ratus empat puluh enam juta empat ratus enam
puluh enam ribu enam ratus enam puluh satu) saham, menjadi sebanyak 3.764.556.978 (tiga miliar tujuh
ratus enam puluh empat juta lima ratus lima puluh enam ribu sembilan ratus tujuh puluh delapan) saham,
yang terbagi dalam (i) 3.546.466.661 (tiga miliar lima ratus empat puluh enam juta empat ratus enam
puluh enam ribu enam ratus enam puluh satu) saham seri A, dan (ii) 218.090.317 (dua ratus delapan
belas juta sembilan puluh ribu tiga ratus tujuh belas) saham seri B.
Demikian Pengumuman ini dibuat untuk diumumkan kepada masyarakat melalui situs web PT Bursa
Efek Indonesia dan situs web Perseroan.

ANNOUNCEMENT ON THE IMPLEMENTATION OF INCREASE OF CAPITAL
WITHOUT PRE-EMPTIVE RIGHTS (“PMTHMETD”)
PT APEXINDO PRATAMA DUTA TBK (“THE COMPANY”)
This Announcement is made and performed in order of compliance with the provision of (i) Article 43A of
Financial Services Authority Regulation Number 32/POJK.04/2015 concerning Increased Capital of a Public
Company With Pre-emptive Rights as amended under Financial Services Authority Regulation Number
14/POJK.04/2019 concerning Amendment to Regulation Number 32/POJK.04/2015 on Increase of Capital of
Public Companies With Preemptive Rights. ("POJK 14/2019"), and (ii) Provision VI.1. of IDX Regulation
Number I-A, Appendix II to the Decree of the Board of Directors of PT Bursa Efek Indonesia Number Kep-
00101/BEI/12-2021 dated 21 December 2021 concerning the Listing of Shares and Equity Securities Other
Than Shares Issued by Listed Companies, as amended by the Decree of the Board of Directors of PT Bursa
Efek Indonesia Number Kep-00045/BEI/03-2026 dated 31 March 2026 concerning the Amendment to
Regulation Number I-A on the Listing of Shares and Equity Securities Other Than Shares Issued by Listed
Companies, hereinafter referred to as “Announcement”.
This Announcement is important to be considered by the shareholders of the Company and constituted
implementation of PMTHMETD which has been approved by Extraordinary General Meeting of
Shareholders (“EGMS”) of the Company dated 7 October 2026.
The Board of Commissioners and the Board of Directors of the Company either individually or collectively
are fully responsible for the validity and completeness of all material information or facts contained in this
Announcement. The Board of Commissioners and the Board of Directors of the Company, having made
reasonable enquiry, confirm that there are no important and relevant facts that are omitted which may cause
the material information or facts in this Announcement to become inaccurate and/or misleading.

The Company hereby announce that the Company will implement PMTHMETD, in order to improve the
Company’s financial position as mentioned in Article 3 point (a) POJK 14/2019.
PMTHMETD implemented by issuing 218,090,317 new series B shares with a par value of IDR325.00
(three hundred twenty five IDR) per share (“New Shares”), with the subscription for such shares to be
settled by offsetting the Foreign Syndicated Lenders’ claims against the Company.

Number of additional shares which will be recorded is 218,090,317 (two hundred eighteen million ninety
thousand three hundred seventeen) new series B shares, with exercise price of IDR325.00 (three hundred
twenty five IDR) per share. The determination of the exercise price for the PMTHMETD is in accordance
with the provisions of Section V.1.3 of Appendix II to the Decree of the Board of Directors of PT Bursa
Efek Indonesia Number Kep-00045/BEI/03-2026 dated 31 March 2026 concerning the Amendment to
Regulation Number I-A on the Listing of Shares and Equity Securities Other Than Shares Issued by Listed
Companies. The implementation schedule is as follow:
1. Implementation of PMTHMETD : 19 October 2026
2. Listing of New Shares : 20 October 2026
3. Announcement of PMTHMETD Implementation Results : 21 October 2026
After implementation of PMTHMETD, therefore the Company’s total issued and paid up capital will
increase from to 3,546,466,661 (three billion five hundred forty six million four hundred sixty six
thousand six hundred sixty one) shares, to 3,764,556,978 (three billion seven hundred sixty four million
five hundred fifty six thousand nine hundred seventy eight) shares, which is divided into (i)
3,546,466,661 (three billion five hundred forty six million four hundred sixty six thousand six hundred
sixty one) series A shares, and (ii) 218,090,317 (two hundred eighteen million ninety thousand three
hundred seventeen) series B shares.
This Announcement is made to be announced to the public through the website of the Indonesia Stock
Exchange and the Company’s website.
