sebagaimana telah diubah terakhir dengan Undang-
Undang Nomor 16 Tahun 2025 dan Pasal 46 ayat (1)
huruf a Peraturan Otoritas Jasa Keuangan No. 17
tahun 2023 tentang Penerapan Tata Kelola Bagi Bank
Umum, diatur bahwa Dewan Komisaris dilarang
merangkap jabatan sebagai anggota Direksi pada
BUMN dan/atau lembaga keuangan.

3. Lebih lanjut, dalam Pasal 73 ayat (2) dan (3) Peraturan
Menteri BUMN No. PER-3/MBU/03/2023 (“Permen
BUMN”) diatur bahwa masa jabatan anggota Dewan
Komisaris BUMN yang merangkap jabatan yang
dilarang sesuai ketentuan perundang-undangan
berakhir karena hukum sejak anggota Dewan
Komisaris BUMN yang bersangkutan lainnya atau
anggota Direksi mengetahui perangkapan jabatan
dimaksud.

4. Berdasarkan penjelasan di atas, maka jabatan Bapak
Dwi Ary Pumomo selaku Anggota Dewan Komisaris
Perseroan berakhir efektif terhitung sejak tanggal 25
Februari 2026./

Description of Information or Material | 1. Mr. Dwi Ary Purnomo, as a Member of the Board of

Facts. Commissioners of the Company, on February 25,
2026, submitted a letter of notification of his
appointment as a Member of the Board of Directors of
PT Asuransi Kerugian Jasa Raharja (“Jasa Raharja”),
stating that based on the Decision of Jasa Raharja
Shareholders dated February 25, 2026, he was
appointed as Finance Director of Jasa Raharja.

2. Based on Article 27B of Law Number 19 of 2003
concerning State-Owned Enterprises as last amended
by Law Number 16 of 2025 and Article 46 paragraph
(1) letter a of Financial Services Authority Regulation
No. 17 of 2023 concerning the Implementation of
Governance for Commercial Banks, it is stipulated that
the Board of Commissioners is prohibited from
concurrently serving as members of the Board of
Directors of SOEs and/or financial institutions.

3. Furthermore, Article 73 paragraphs (2) and (3) of
Minister of State-Owned Enterprises Regulation No.
PER-3/MBU/03/2023 (“Permen BUMN”) stipulates that
the term of office of members of the Board of
Commissioners of state-owned enterprises who hold
concurrent positions prohibited by law shall end by
operation of law as soon as the other members of the
Board of Commissioners or members of the Board of
Directors become aware of the concurrent positions in
guestion.

4. Based on the above explanation, the position of Mr.
Dwi Ary Purnomo as a Member of the Board of
Commissioners of the Company will effectively end on
February 25, 2026.

5. | Keterangan lain-lain./ Berdasarkan ketentuan Anggaran Dasar Perseroan yang

mengatur bahwa:

a. jabatan anggota Dewan Komisaris berakhir apabila
tidak lagi memenuhi persyaratan sebagai anggota
Dewan Komisaris berdasarkan ketentuan Anggaran
Dasar dan ketentuan peraturan perundang-
undangan, termasuk namun tidak terbatas pada
rangkap jabatan yang dilarang, dan

b. anggota Dewan Komisaris diangkat dan
diberhentikan oleh RUPS,

maka Perseroan bermaksud mengukuhkan pengakhiran

masa jabatan Bapak Dwi Ary Purnomo sebagai anggota

Dewan Komisaris Perseroan melalui RUPS Tahunan

Tahun Buku 2025./

Other Information. Based on the provisions of the Company's Articles of

Association which stipulate that:

a. the position of a member of the Board of
Commissioners shall terminate if he/she no longer
meets the reguirements as a member of the Board of
Commissioners based on the provisions of the Articles
of Association and the provisions of laws and
regulations, including but not limited to prohibited
concurrent positions, and

b. members of the Board of Commissioners are
appointed and dismissed by the GMS,

the Company intends to confirm the termination of Mr. Dwi

Ary Purnomo's term of office as a member of the

Company's Board of Commissioners through the 2025

Annual GMS.
