Description of Information Penjualan saham milik Perusahaan dan entitas anak

Perusahaan, PT Austindo Nusantara Jaya Agri
(“ANJA”) (secara bersama-sama disebut sebagai
“Para Penjual”) atas saham dalam PT Galempa
Sejahtera Bersama (“GSB”), sebanyak 2.684.700
lembar saham, terdiri dari:

(5 2.568.815 lembar saham milik ANJA atau
mewakili 95,68Y4 dari total saham yang telah
ditempatkan dan disetor penuh dalam GSB.

ii. 115.885 lembar saham milik Perusahaan atau
mewakili 4,32” dari total saham yang telah
ditempatkan dan disetor penuh dalam GSB.

Transaction Object

The sale of shares owned by the Company and its

subsidiary, PT Austindo Nusantara Jaya Agri

(“ANJA”) (collectively referred to as the “Sellers”), in

PT Galempa Sejahtera Bersama (“GSB”) a total of

2,684,700 shares, consisting of:

1 2,568,815 shares owned by  ANJA,
representing 95.6846 of the total issued and
fully paid-up shares in GSB.

ii. 115,885 shares owned by the Company,
representing 4.326 of the total issued and
fully paid-up shares in GSB.

b. Pihak Pembeli dan Hubungan Afiliasi
Seluruh saham tersebut dijual kepada PT Pratama
Agro Andalan (“PAA”) dan/atau pihak lain yang
ditunjuk oleh PAA, yang bukan merupakan pihak
terafiliasi dengan Para Penjual sebagaimana
dimaksud dalam Peraturan Otoritas Jasa Keuangan
Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan.

Purchaser and Affiliation Status

All such shares are sold to PT Pratama Agro Andalan
("PAA”) and/or other parties designated by PAA,
which is not an affiliated party of the Sellers as
defined under Financial Services Authority
Regulation Number 42/POJK.04/2020 on Affiliated
Transactions and Conflict of Interest Transactions.

Cc. Nilai Transaksi
Nilai transaksi penjualan saham GSB adalah sebesar
Rp 42.000.000.000,- (empat puluh dua miliar
Rupiah).

Transaction Value

The transaction value for the sale of shares in GSB
amounts to Rp 42,000,000,000 (forty-two billion
Rupiah).

d. Klasifikasi Transaksi
Nilai transaksi penjualan saham tersebut bersifat
immaterial.

The value of the share sale transaction is immaterial.

e. Latar Belakang Transaksi

Penjualan saham tersebut dilakukan dengan
mempertimbangkan pengelolaan portofolio investasi
Perusahaan secara berkelanjutan, termasuk
penyesuaian fokus kegiatan usaha dan wilayah
operasional Perusahaan dan penyelarasan dengan
prioritas pengembangan usaha Perusahaan, dengan
tetap memperhatikan prinsip kehati-hatian.

Background of the Transaction

The share sale is carried out with due consideration
to the sustainable management of the Company's
investment portfolio, including adjustments to
Company's regional operational focus and alignment
with the Company's business development priorities,
while continuing to uphold the principle of prudence.
