Uraian Informasi atau Fakta Material Dengan merujuk pada Peraturan Otoritas Jasa Keuangan
nomor: 31/POJK.04/2015 tentang Keterbukaan Atas Informasi
atau Fakta Material oleh Emiten atau Perusahaan Publik,
Perseroan dengan ini menginformasikan bahwa:
1. Perseroan telah memperoleh fasilitas kredit investasi dari
PT Bank Mandiri (Persero) Tbk Kota Balikpapan, Kalimantan
Timur selaku kreditur, dimana Perseroan bertindak sebagai
debitur.
2. Detail fasilitas kredit yang diterima Perseroan dalam Surat
Penawaran Pemberian Kredit (SPPK) No CM1.
SMD/BLP/003/SPPK/2026 tanggal 27 Januari 2026 adalah
sebagai berikut:
a. Kredit Investasi IX (KI IX) sebesar Rp280.000.000.000 (dua
ratus delapan puluh miliar Rupiah)
b. Kredit Investasi X (KI X) sebesar Rp115.200.000.000
(seratus lima belas miliar dua ratus juta Rupiah).
3. Fasilitas Kredit Investasi IX digunakan untuk
pengadaan 6 (enam) unit kapal, yang terdiri dari Offshore
Support Vessel/Offshore Supply Barge (OSV/OSB), Harbour
Tug, Crew Boat, dan Pilot Boat
4. Tujuan penggunaan KI IX adalah untuk pengadaan
kapal sebagaimana dalam poin 3 khusus untuk kontrak PT
Layar Nusantara Gas.
5. Fasilitas Kredit Investasi X digunakan untuk
pengadaan 4 (empat) unit kapal baru jenis Offshore Support
Vessel (OSV) dan/atau Crew Boat.
6. Sifat dan jangka waktu penawaran fasilitas KI:
a. Fasilitas Kredit Investasi IX bersifat Committed, Non-
Revolving dan Advised dengan jangka waktu 96 (sembilan
puluh enam) bulan yang terdiri dari availability period 18
(delapan belas) bulan, grace period selama masa availability
period & tambahan 6 (enam) bulan setelah masa laku
availability period berakhir dan jangka waktu angsuran selama
72 bulan sejak masa laku grace period berakhir.
b. Fasilitas Kredit Investasi X bersifat Uncommitted,
Non-Revolving dan Advised serta dapat menjadi:
- Committed setelah pemenuhan persyaratan tertentu
diantaranya copy LoA Kontraktor Kontrak Kerja Sama (K3S)
minyak dan gas, jangka waktu penawaran 6 (enam) bulan,
jangka waktu fasilitas kredit committed 69 (enam puluh
sembilan) bulan, terdiri dari availability period 3 (tiga) bulan
dan grace period selama availability period selama 6 (enam)
bulan. Dan jangka waktu angsuran 60 (enam puluh) bulan.
- Uncommitted 81 (delapan puluh satu) bulan yang terdiri dari
availability period 3 (tiga) bulan, grace period selama masa
availability period 6 (enam) bulan dan jangka waktu angsuran
60 (enam puluh) bulan serta angsuran 72 bulan sejak grace
period berakhir.
7. Seluruh kapal yang dibiayai akan dijadikan agunan
dan diikat dengan hipotek sesuai ketentuan Bank.
8. Akta Perjanjian KI IX dan KI X telah ditandatangani
pada tanggal 24 Februari 2026 dihadapan Dr. Isy Karimah
Syakir, S.H., M.Kn., M.H. Notaris di Surabaya.

Dampak kejadian, informasi atau fakta 1. Perseroan akan mengalami peningkatan liabilitas
material tersebut terhadap kegiatan sehubungan dengan kewajiban pembayaran pokok dan bunga

3. Terdapat kepastian pembayaran liabilitas dengan
kemampuan pembayaran positif karena kontrak longterm 18
(delapan belas) tahun.
4. Adanya kepastian dan peningkatan revenue serta
memberikan kepastian going concern dan memperkuat posisi
Perseroan dibidang Offshore Support Vessel.
5. Transaksi ini tidak menimbulkan dampak hukum yang
material terhadap kegiatan usaha Perseroan.
Informasi Lain
1. Transaksi perolehan fasilitas kredit ini bukan merupakan Transaksi Afiliasi dan tidak mengandung benturan
kepentingan sebagaimana dimaksud dalam POJK No. 42/POJK.04/2020.
2. Transaksi ini juga bukan merupakan Transaksi Material sebagaimana dimaksud dalam POJK No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha.
3. Atas kontrak FLNG dengan PT Layar Nusantara Gas telah dilakukan keterbukaan informasi tanggal 22 Desember
2025 pada Sistem Pelaporan Elektronik OJK-IDX.

Description of Material Information or With reference to Financial Services Authority Regulation No.
Facts 31/POJK.04/2015 concerning Disclosure of Material
Information or Facts by Issuers or Public Companies, the
Company hereby informs that:
1. The Company has obtained an investment credit facility
from PT Bank Mandiri (Persero) Tbk Kota Balikpapan, East
Kalimantan as the creditor, with the Company acting as the
debtor.
2. The details of the credit facility received by the Company
in the Credit Offer Letter (SPPK) No. CM1.
SMD/BLP/003/SPPK/2026 dated January 27, 2026 are as
follows:
a. Investment Credit IX (KI IX) amounting to IDR
280,000,000,000 (two hundred and eighty billion Rupiah)
b. Investment Credit X (KI X) amounting to IDR
115,200,000,000 (one hundred and fifteen billion two hundred
million Rupiah).
3. The Investment Credit Facility IX is used for the
procurement of 6 (six) vessels, consisting of Offshore Support
Vessels/Offshore Supply Barges (OSV/OSB), Harbor Tugs,
Crew Boats, and Pilot Boats.
4. The purpose of KI IX is for the procurement of vessels as
referred to in point 3 specifically for the contract of PT Layar
Nusantara Gas.
5. Investment Credit Facility X is used for the procurement of
4 (four) new vessels of the Offshore Support Vessel (OSV)
and/or Crew Boat type.
5. Investment Credit Facility X is used for the procurement of
four (4) new Offshore Support Vessel (OSV) and/or Crew Boat
units.
6. Nature and term of the IC facility offer:
a. Investment Credit Facility IX is Committed, Non-
Revolving and Advised with a term of 96 (ninety-six) months
consisting of an availability period of 18 (eighteen) months, a
grace period during the availability period & an additional 6
(six) months after the availability period expires, and an
installment period of 72 months from the end of the grace
period.
b. Investment Credit Facility X is Uncommitted, Non-
Revolving, and Advised, and can become:
- Committed after fulfilling certain requirements, including a
copy of the Letter of Authorization (LoA) from the Oil and Gas
Cooperation Contract (K3S) Contractor, an offer period of 6
(six) months, a committed credit facility period of 69 (sixty-
nine) months, consisting of an availability period of 3 (three)
months and a grace period during the availability period of 6
(six) months. And an installment period of 60 (sixty) months.
- Uncommitted 81 (eighty-one) months consisting of an
availability period of 3 (three) months, a grace period during
the availability period of 6 (six) months and an installment
period of 60 (sixty) months and 72 monthly installments from
the end of the grace period.
7. All financed vessels will be used as collateral and secured
by mortgages in accordance with the Bank's provisions.
8. The KI IX and KI X Agreement Deeds were signed on
February 24, 2026, before Dr. Isy Karimah Syakir, S.H., M.Kn.,
M.H., Notary in Surabaya.

4. There is certainty and an increase in revenue, providing
certainty of going concern and strengthening the Company's
position in the Offshore Support Vessel sector.
5. This transaction does not have a material legal impact on
the Company's business activities.
Other Information
1. This credit facility acquisition transaction is not an Affiliated Transaction and does not contain any conflict of
interest as referred to in POJK No. 42/POJK.04/2020.
2. This transaction also does not constitute a Material Transaction as referred to in POJK No. 17/POJK.04/2020
concerning Material Transactions and Changes in Business Activities.
3. Disclosure of information regarding the FLNG contract with PT Layar Nusantara Gas was made on December
22, 2025, on the OJK-IDX Electronic Reporting System.
