Uraian Informasi atau Fakta Material Pada tanggal 19 Januari 2026, anak perusahaan Perseroan,
yaitu PT Realfood Winta Asia ("RWA") dan Edwin Pranata,
telah mendirikan suatu anak usaha baru yaitu PT Marinova
Protein Internasional ("MPI"), berkedudukan di Bojonegoro.
Pendirian tersebut dituangkan dalam Akta Pendirian No. 18
tanggal 19 Januari 2026 yang dibuat oleh Eni Zubaidah, S.H.,
Notaris di Bojonegoro, dan telah mendapat pengesahan dari
Kementerian Hukum Republik Indonesia No. AHU-
0013843.AH.01.01.Tahun 2026 tanggal 18 Februari 2026. MPI
akan melakukan kegiatan usaha, antara lain (i) Industri
Penggaraman/Pengeringan Ikan (KBLI 10211); (ii) Industri
Pembekuan Ikan (KBLI 10213); (iii) Industri Pengolahan Dan
Pengawetan Lainnya untuk Ikan (KBLI 10219); (iv) Industri
Penggaraman/Pengeringan Biota Air Lainnya (KBLI 10291);
(v) Industri Pengolahan Dan Pengawetan Lainnya untuk Biota
Air Lainnya (KBLI 10299); (vi) Perdagangan Besar Hasil
Perikanan (KBLI 46206); dan (vii) Perdagangan Besar Hasil
Olahan Perikanan (KBLI 46324).
Dampak kejadian, informasi atau fakta Dengan pembentukan anak perusahaan ini, Perseroan akan
material tersebut terhadap kegiatan memiliki anak usaha baru yang laporan keuangannya akan
operasional, hukum, kondisi keuangan, terkonsolidasi. Kejadian ini tidak akan berdampak terhadap
atau kelangsungan usaha Emiten atau kegiatan operasional, hukum, kondisi keuangan, atau
Perusahaan Publik kelangsungan usaha Perseroan. Perseroan berkeyakinan
bahwa pembentukan anak usaha baru ini dilakukan sesuai
dengan strategi bisnis diversifikasi Perseroan dan untuk
memastikan agar Perseroan fokus pada pelaksanaan kegiatan
usaha yang berkelanjutan. Selain itu, pembentukan ini juga
akan menjadi penunjang untuk bisnis perseroan ke depan.

Description of Material Information or On January 19, 2026, the Company's subsidiaries, namely PT
Facts Realfood Winta Asia ("RWA") and Edwin Pranata, established
a new subsidiary, PT Marinova Protein Internasional ("MPI"),
domiciled at Bojonegoro. Such establishment was set out in
Deed of Establishment No. 18 dated January 19th, 2026,
made before Eni Zubaidah, S.H., Notary in Bojonegoro, and
has obtained approval from the Ministry of Law of the Republic
of Indonesia No. AHU- 0013843.AH.01.01.Tahun 2026 dated
February, 18th 2026.MPI will carry out business activities,
among others, (i) Fish Salting/Drying Industry (KBLI 10211); (ii)
Fish Freezing Industry (KBLI 10213); (iii) Other Fish
Processing and Preservation Industry (KBLI 10219); (iv)
Salting/Drying Industry for Other Aquatic Biota (KBLI 10291);
(v) Other Processing and Preservation Industry for Other
Aquatic Biota (KBLI 10299); (vi) Wholesale Trade of Fishery
Products (KBLI 46206); and (vii) Wholesale Trade of
Processed Fishery Products (KBLI 46324).
Impact of event, material information or After the establishment of the company subsidiary, the
facts towards Issuers or Public Company will have a new legal entity which the Company's
Company’s operational activities, legal, financial statement will be consolidated. This event will not
financial condition, or going concern have an impact on the operational activities, legal, financial
condition, or business continuity of the Company. The
Company believes that the establishment is made in
accordance with the Company's diversification strategy and to
ensure that the Company focuses on the sustainability
implementation of the of business activities of the Company.
Furthermore, this establishment will also support the
Company's business going forward.
