Informasi Lain 1. Penerima Manfaat: Peraturan Bursa Efek Indonesia Nomor I-E mewajibkan Perseroan menyampaikan informasi mengenai nama penerima manfaat akhir (ultimate beneficial ownership) Perseroan. Merujuk pada ketentuan mengenai pemilik manfaat sebagaimana diatur dalam Peraturan Presiden Republik Indonesia No. 13 Tahun 2018 ( Perpres ) dan peraturan pelaksananya: A. Tidak terdapat individu yang memenuhi kriteria pemilik manfaat Perseroan sebagaimana diatur dalam Perpres, berdasarkan informasi yang ada pada Perseroan. B. Namun demikian, semata-mata untuk memenuhi ketentuan Pasal 3 ayat (1) Perpres (bukan untuk keperluan lainnya, termasuk perpajakan), maka pemilik manfaat Perseroan adalah seluruh Direktur PT Karya Supra Perkasa ( KSP ), dalam kedudukannya sebagai anggota Direksi KSP, dimana KSP adalah pemegang 91,17% saham Perseroan yang (melalui Rapat Umum Pemegang Saham Perseroan) mempunyai kewenangan sebagaimana dimaksud pada Pasal 4 ayat (1) butir d Perpres, yakni kewenangan untuk mengangkat, menggantikan, atau memberhentikan anggota Direksi dan anggota Dewan Komisaris Perseroan. 2. Lain-lain: a. Angka 1.560.132.032 yang disebutkan pada Bagian Informasi Saham Free Float , Kolom Jumlah Saham Bulan Ini adalah mengacu pada definisi Saham Free Float sebagaimana diatur dalam Peraturan Bursa Efek Indonesia No. I-A, yaitu Saham Free Float adalah saham yang: i. dimiliki oleh pemegang saham kurang dari 5% (lima perseratus) dari seluruh saham tercatat; ii. bukan dimiliki oleh Pengendali dan Afiliasi dari perusahaan; iii. bukan dimiliki oleh anggota dewan komisaris atau anggota direksi; dan iv. bukan saham yang telah dibeli kembali oleh perusahaan. b. Other Information
1. Beneficial Owner:
Indonesian Stock Exchange Regulation Number I-E requires the Company to submit information regarding the
name of the ultimate beneficial owner of the Company.
Referring to the provisions regarding the beneficial owner as stipulated in the Presidential Regulation of the
Republic of Indonesia No. 13 of 2018 ("Perpres") and its implementing regulations:
A. There is no individual who meets the criteria for the beneficial owner of the Company as stipulated in the
Presidential Decree, based on the information available in the Company.
B. However, solely to comply with the provisions of Article 3 paragraph (1) of the Presidential Decree (not for other
purposes, including taxation), the beneficial owners of the Company are all Directors of PT Karya Supra Perkasa (
KSP ), in their capacity as members of the Board of Directors KSP, where KSP is the holder of 91.17% of the
shares of the Company which (through the General Meeting of Shareholders of the Company) has the authority as
referred to in Article 4 paragraph (1) point d of the Presidential Decree, namely the authority to appoint, replace, or
dismiss members of the Board of Directors and members of the Board of Commissioners of the Company.
2. Others:
a. The number 1.560.132.032 as stipulated in Section Information on Free Float Shares , Sub Section Total
Shares as at this Month is referred to definition of Free Float Shares under IDX Rule No. I-A, i.e. Free Float Shares
are shares which are: i. owned by shareholders with less than 5% (five percent) ownership of the total listed shares;
ii. not owned by the Controlling Shareholders and Affiliates of the company; iii. not owned by the members of the
board of commissioners or members of the board of directors; and iv. not treasury stock (buy-backed shares) of the
company.
b. Explanation from IDX which informs that Free Float Shares only include scripless shares.
