Uraian Informasi atau Fakta Material Transaksi material terjadi pada tanggal 29 Januari 2026,
berupa Perjanjian Fasilitas (Facility Agreement) antara PT
Nusa Palapa Gemilang Tbk (Perseroan) dan PT Bank
Sinarmas Tbk.
Objek transaksi mencakup berbagai fasilitas kredit dengan
total nilai Rp54.020.000.000, terdiri dari:, Demand Loan
(Rp45.000.000.000, Bunga 9,75% p.a., Jatuh Tempo 16
Oktober 2026), dan PRK (Rp9.000.000.000, Bunga 9,75%
p.a., Jatuh Tempo 16 Oktober 2026), Corporate Credit Card
(Rp20.000.000, Bunga 21% p.a., Jatuh Tempo 30 Juni 2029).
Transaksi ini mendapat pengecualian berdasarkan Pasal 11
POJK 17/2020 karena merupakan pinjaman langsung dari
bank, sehingga tidak memerlukan penilai independen atau
persetujuan RUPS.
Dampak kejadian, informasi atau fakta Fasilitas kredit ini digunakan sebagai opsi pembiayaan untuk
material tersebut terhadap kegiatan modal kerja Perseroan.

Description of Material Information or A material transaction occurred on January 29, 2026, in the
Facts form of a Facility Agreement between PT Nusa Palapa
Gemilang Tbk (the Company) and PT Bank Sinarmas Tbk.
The transaction involved various credit facilities totaling
Rp54,020,000,000, consisting of: Demand Loan
(Rp45,000,000,000, interest rate 9.75% p.a., due October 16,
2026), PRK (Rp9,000,000,000, interest rate 9.75% p.a., due
October 16, 2026), and Corporate Credit Card (Rp20,000,000,
interest rate 21% p.a., due June 30, 2029).
This transaction is exempted under Article 11 of POJK
17/2020 because it is a direct loan from a bank, so it does not
require an independent appraiser or GMS approval.
