Bila saat kesepakatan sudah tercapai akan di tuangkan dalam Conditional Sale and Purchase Agreement. Alasan PT Berkah Prima Perkasa Tbk (“Perseroan”) menyampaikan keterbukaan informasi pada tanggal 20 Januari 2026 perihal Perkembangan Proses Akuisisi adalah guna memenuhi ketentuan Pasal 5 Peraturan OJK No.9/POJK.04/2018 tentang Pengambilalihan Perusahaan Terbuka (“POJK 9/2018”). Pasal 5 POJK 9/2018 pada pokoknya mengatur penyampaian perkembangan negosiasi, yang dalam hal ini adalah due diligence yang dilakukan oleh calon pembeli atas Perseroan dan saat ini masih berlangsung. Tidak terdapat Informasi/fakta material lainnya yang dapat mempengaruhi harga saham Perseroan yang belum disampaikan kepada publik. Demikian disampaikan. Further to the Indonesia Stock Exchange Letter Number S-01181/BELPP1/01-2026 dated 28"
January 2026 re the Reguest for Explanation, the following are our answers:
1. Both the timeline and the transaction settlement plans are currently still being negotiated
between the sellers and the buyer. Once an agreement has been reached, it will be documented
in a Conditional Sale and Purchase Agreement.
2. The reason for PT Berkah Prima Perkasa Tbk ("Company") sending a disclosure of
information on 20 January 2026 regarding the Development of the Acguisition Process
is to comply with the provisions of Article 5 of OJK Regulation No.9/POJK.04/2018
concerning the Takeover of Public Companies ("POJK 9/2018”). Article 5 of POJK
9/2018 regulates the submission of negotiation developments, which, in this case, isa
due diligence process by the prospective purchasers and is still ongoing.
3. There are no other material information or facts that could affect the Company's share
price that have not been disclosed to the public.
