Akuisisi saham oleh MLBI sebagaimana diuraikan di atas tidak memenuhi kriteria transaksi afiliasi maupun kriteria
transaksi material. Oleh karenanya, MLBI tidak melakukan keterbukaan informasi sebagaimana dimaksud dalam POJK
No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan dan POJK No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha.

 Description of Material Information or       Based on the initial negotiations with PT Karya Distilindo
 Facts                                        Sejahtera (KDS), MLBI decided to purchase 99.9% of the
                                              shares in KDS from (i) Mr. Tri Susila, (ii) Mrs. Jessica Laetitia,
                                              (iii) Mr. King Purbaya Suwangsa, and (iv) Mr. I Made Tjandi
                                              Sugiharto.

                                              There is no affiliate relationship between MLBI and (i) Mr. Tri
                                              Susila, (ii) Mrs. Jessica Laetitia, (iii) Mr. King Purbaya
                                              Suwangsa, and (iv) Mr. I Made Tjandi Sugiharto. Likewise,
                                              between MBLI and KDS, there is no affiliate relationship either
                                              in terms of share ownership or management (having the same
                                              members of the Board of Directors and/or Board of
                                              Commissioners).

                                              Based on the initial agreement (before MLBI carried out due
                                              diligence on KDS), the share purchase price will not exceed
                                              Rp 15,000,000,000.00 (fifteen billion Rupiah).
 Impact of event, material information or     By having shares of 99.9% in KDS, MLBI has full control over
 facts towards Issuers or Public              KDS operations.
 Company’s operational activities, legal,
 financial condition, or going concern        There are no significant legal impacts from owning KDS
                                              shares, except for the consequences for MLBI to ensure KDS
                                              legal compliance in carrying out its business activities.

                                              The acquisition of shares by MLBI will contribute to MLBI's
                                              consolidated revenue.

                                              There is no significant impact on MLBI's business continuity
                                              from owning shares in this KDS.

Other Information

The acquisition of shares by MLBI as described above does not meet the affiliate transaction criteria or material
transaction criteria. Therefore, MLBI does not disclose information as referred to in POJK No. 42/POJK.04/2020
concerning Affiliate Transactions and Conflict of Interest Transactions and POJK No. 17/POJK.04/2020 concerning
Material Transactions and Changes in Business Activities.
