b. Latar belakang dari transaksi diatas yaitu dikarenakan PT Indobaja Primamurni (IBPM) sudah tidak
beroperasi lagi sesuai dengan surat keterbukaan informasi nomor 190 /ISP-CorSec/IX/2025 tanggal 1
September 2025 maka manajemen memutuskan untuk memanfaatkan aset IBPM yang tidak terpakai
dan dapat dimanfaatkan oleh Perseroan atau perusahaan affiliasi, akan dilakukan transaksi jual beli
dengan nilai yang-wajar.

The background of this transaction is the cessation of IBPM's operating, as disclose in letter (no.
190/ISP-CorSec/1X/2025). Conseguently, management decided to reallocate IBPM's idle assets to the
Company or its affiliates through a fair value purchase, ensuring these resources remain productive.

The selling price was determined by comparing the asset's book value or the market price, adopting
whichever value was higher. P3

g. Atas transaksi tersebut dalam penyusunan laporan konsolidasian per 31 Desember 2025 akan
dilakukan jurnal eliminasi terhadap keuntungan atau kerugian penjualan aset tetap.
Regarding these transactions, an elimination journal entry for any gains or losses from the sale of fixed
assets will be recorded in the consolidated financial statements for the period ending December 31,
2025.

2. Merujuk kepada surat Perseroan nomor 314/ISP-CorSec/XII/2025 perihal Transaksi Afiliasi yang

menyatakan Perseroan telah menyewakan ke PT Indoprima Investama (entitas induk akhir Perseroan)
sebagian bangunan untuk kantor dengan luas 66 meter2, Perseroan diminta untuk menjelaskan hal-hal
sebagai berikut.
Referring to the Company's letter (No: 314/ISP-CorSec/XII/2025), concerning Affiliated Transactions, it was
disclosed that the Company has leased part of PT Indoprima Investama (Company's ultimate parent) office
building, with an area of 66 meters2. Accordingly, the Company is reguested to explain the following
matters.

a. Tujuan dari transaksi diatas yaitu Perseroan memanfaatkan ruangan yang tidak terpakai untuk
disewakan kepada PT Indoprima Investama untuk memperoleh-pendapatan.
The purpose of this transaction is to allow the Company leased its unused area to PT Indoprima
Investama to generate additional income.

b. Akan diriviu setiap tahunnya atas perpanjangan sewa ruangan milik Perseroan.
The Company will review the lease agreement annually.

Cc. PT Indoprima Investama adalah penyewa ruangan tersebut.
PT Indoprima Investama is the lessee of the unused area.

d. Ruangan yang disewakan berada di dalam kantor Perseroan.
The leased area is inside the Company's office area.

3. Merujuk kepada surat Perseroan nomor 299/ISP-CorSec/XI/2025 tanggal 25 November 2025 perihal
Transaksi Afiliasi yang menyatakan Perseroan telah menjual kepada PT Bagaskoro Mega Langgeng (entitas
sepengendali Perseroan) 7 unit forklift listrik bekas, Perseroan diminta untuk menjelaskan hal-hal sebagai
berikut. .

Referring to the Company's letter (No: 299/ISP-CorSec/X1/2025) dated November 25, 2025, concerning
Affiliated Transactions, it was disclosed that the Company has sold 7 unit of used electric forklifts to PT
Bagaskoro Mega Langgeng (Company entity under common control). Accordingly, the Company is
reguested to explain the following matters. &

Jawaban / Answer:

a. Tujuan dari transaksi diatas yaitu 7 unit forklift listrik bekas tersebut sudah tidak efisien
penggunaannya dan sering memerlukan perbaikan.
The purpose of this transaction is to address the inefficiency of 7 used electric forklift that reguired
regular repairs. -

b. Umur ekonomik dari aset tersebut adalah sudah habis kemanfaatannya.
The economic life of the asset has already expired.

c. Dampak dari transaksi di atas yaitu Perseroan memperoleh Pendapatan lain-lain sebesar Rp 315,32
juta atau Rp 350 juta termasuk PPN.
The impact of this transaction is the Company generated other income valued of Rp 315.32 million or
Rp. 350 million including VAT.

d. Perseroan meperoleh pendapatan Rp 315,32 juta dan tidak dilakukan jurnal eliminasi di level
konsolidasian Perseroan.
The Company gained other income valued of Rp 315.32 million and this transaction will not be
recorded in the elimination journal in the Company's consolidated financial statement.

. Merujuk kepada surat Perseroan nomor 259/ISP-CorSec/XI/2025 tanggal 10 November 2025 perihal

Transaksi Afiliasi yang menyatakan telah terjadinya penjualan mesin bekas dari PT Indobaja Primamurni
(entitas anak Perseroan, 96,50X kepemilikan) kepada PT MK Prima Indonesia (entitas anak Perseroan, 5196
kepemilikan), Perseroan diminta untuk menjelaskan hal-hal sebagai berikut.
Referring to the Company's letter (No: 259/ISP-CorSec/XI/2025) dated November 10, 2025, concerning
Affiliated Transactions, it was disclosed that PT Indobaja Primamurni (96.5096 owned) has sold used
machines to PT MK Prima Indonesia (5196 owned). Both companies are subsidiaries of the Company.
Accordingly, the Company is regugsted to explain the following matters.

a. Tujuan dari transaksi diatas yaitu memanfaatkan aset tetap yang tidak digunakan oleh PT Indobaja
Primamurni untuk kepentingan produksi / aktivitas operasional dengan nilai yang wajar dan lebih
ekonomis daripada harus membeli aset yang baru.

The purpose of this transaction is to allow the Company to utilize fixed assets that are no longer
reguired by PT Indobaja Primamurni. Acguiring these assets at fair value is more economical for our
production and operational activities than purchasing new eguipment.

b. Latar belakang dari transaksi diatas yaitu manajemen memutuskan untuk memanfaatkan aset IBPM
yang tidak terpakai dan dapat dimanfaatkan oleh Perseroan atau perusahaan affiliasi, akan dilakukan
transaksi jual beli dengan nilai yang wajar. &

The background of this transaction is the management decided to reallocate and utilize IBPM's idle
assets to the Company or its affiliates through a fair value purchase, ensuring these resources remain
