Description of information or material Indonesia Tbk (“Perseroan”) telah menerima
facts surat dari PT BTPN Syariah Ventura (“BTPNSV”)
Nomor S.068/DIR/HK/VIII/2026 tanggal
5 Agustus 2026 mengenai pencabutan Izin
Usaha BTPNSV sebagaimana tertuang dalam
surat OJK Nomor KEP-47/D-06/2026 tanggal
3 Agustus 2026.
BTPNSV merupakan anggota Konglomerasi
Keuangan SMBC, dengan Perseroan bertindak
sebagai Perusahaan Induk Konglomerasi
Keuangan (PIKK).
Dalam konteks tersebut, Perseroan
mendukung sepenuhnya rencana penghentian
BTPNSV sebagai entitas hukum yang berdiri
sendiri dan mengintegrasikan kegiatan usaha
yang dikelola oleh BTPNSV ke dalam
Konglomerasi keuangan SMBC.
Langkah ini diharapkan dapat memastikan
keberlanjutan misi ekosistem digital bagi
Masyarakat inklusi secara lebih efektif,
sekaligus mengoptimalkan strategi jangka
panjang Konglomerasi Keuangan SMBC melalui
pengelolaan risiko dan penerapan tata kelola
yang lebih terintegrasi, efektif dan adaptif
terhadap dinamika pasar yang semakin
menantang.
On 5 August 2026, PT Bank SMBC Indonesia
Tbk (the “Company”) has received a letter from
PT BTPN Syariah Ventura (“BTPNSV”) Number
S.068/DIR/HK/VIII/2026 dated 5 August 2026
in regards to the Revocation of BTPNSV
Business License as set forth in the Letter No.
KEP-47/D.06/2026 dated 3 August 2026.
BTPNSV is a member of SMBC Financial
Conglomerate, with the Company acting as the

Financial Conglomerate Holding Company
(FCHC).
In this regard, the Company fully supports the
proposed discontinuation of BTPNSV as a
standalone legal entity and the integration of
the activities currently managed by BTPNSV
into the SMBC Financial Conglomerate.
This initiative is expected to ensure the
continued advancement of the digital
ecosystem mission for the underserved and
financially inclusive communities in a more
effective manner, while optimizing the SMBC
Financial Conglomerate’s long-term strategy
through more integrated and effective risk
management and corporate governance,
enabling the Group to respond more effectively
to an increasingly challenging market
environment.
4. Dampak kejadian, informasi atau fakta : Rencana penghentian BTPNSV sebagai entitas
material tersebut terhadap kegiatan hukum yang berdiri sendiri diperkirakan tidak
operasional, hukum, kondisi akan memberikan dampak material yang
keuangan, atau kelangsungan usaha merugikan terhadap posisi keuangan, hasil
Emiten atau Perusahaan Publik/ The usaha, maupun kegiatan usaha Perseroan. Hal

The proposed discontinuation of BTPNSV as a
standalone legal entity is not expected to have
a material adverse impact on the Company’s
financial position, results of operations, or
business activities. This is because the business
activities currently undertaken by BTPNSV will
continue to be carried out within the SMBC
Financial Conglomerate through an integrated
organizational structure. The proposed
integration is expected to improve operational
efficiency, streamline the organizational
structure, strengthen integrated governance
and risk management, and support the
achievement of the SMBC Financial
Conglomerate’s long-term strategic objectives.
