nilai nominal Rp1.000.000,- per saham
atau seluruhnya sebesar
Rp10.000.000.000,- dan 470.035.675
saham seri B dengan nilai nominal
Rp17.000,- per saham atau seluruhnya
sebesar Rp7.990.606.475.000,-.

Sebelum peningkatan modal, modal
dasar IPN berjumlah
Rp2.305.606.475.000,-, yang terdiri dari
10.000 saham seri A dengan nilai
nominal Rp1.000.000,- per saham atau
seluruhnya sebesar Rp10.000.000.000,-
dan 135.035.675 saham seri B dengan
nilai nominal Rp17.000,- per saham atau
seluruhnya sebesar
Rp2.295.606.475.000,-. Seluruh modal
dasar tersebut telah ditempatkan dan
disetor secara penuh. Pada saat itu,
Perseroan memiliki 135.035.675 saham
seri B dengan nilai nominal
Rp2.295.606.475.000,- atau setara
dengan 99,993 dari total modal
ditempatkan dan disetor IPN.

Setelah Perseroan melakukan
tambahan penyetoran modal sebesar
Rp250.000.011.000,- atas 14.705.883
saham seri B, kepemilikan Perseroan
menjadi 149.741.558 saham seri B atau
setara dengan 99,99344 dari modal
ditempatkan dan disetor IPN.

Company's subsidiary, IPN, has issued
14,705,883 Series B shares with a par
value of Rp17,000.- per share, or a total
of Rp250,000,011,000.-, all of which were
fully subscribed by the Company.

In connection with the issuance of such
shares, IPN also increased its authorized
capital to Rp8,000,606,475,000.-,
consisting of 10,000 Series A shares with ad
par value of Rp1,000,000.- pershare, ora
total of Rp10,000,000,000, and
470,035,675 Series B shares with a par
valve of Rp17,000 per share, ora total of
Rp7,990,606,475,000.-.

Prior to the capital increase, IPN's
authorized capital amounted to
Rp2,305,606,475,000.-,  consisting of
10,000 Series A shares with a nominal
valve of Rp1,000,000.- per share, totalling
Rp10,000,000,000.-, and 135,035,675
Series B shares with a nominal value of
Rp17,000.- per share, totalling
Rp2,295,606,475,000.-. The entire
authorized capital had been fully issued
and paid up. At that time, the Company
held 135,035,675 Series B shares with a
nominal value of Rp2,295,606,475,000.-,
representing 99.9934 of IPN's total issued
and paid-up capital.

Following the Company's additional
cash capital contribution of
Rp250,000,011,000.- for 14,705,883 Series
B shares, the Company's ownership
amounts up to 149,741,558 Series B
shares, representing 99.9934 of IPN's
total isved and paid-up capital.

Peningkatan modal ini bertujuan untuk
memperkuat struktur permodalan dan

kapasitas keuangan  IPN dalam
mendukung kegiatan operasional serta
pengembangan lanjutan fasilitas

Meetings, Incentives, Conferences, and
Exhibitions (MICE) yang direalisasikan
melalui Nusantara International
Convention & Exhibition ("NICE").

NICE, sebagai
pengembangan fasilitas MICE telah
mulai beroperasi pada akhir bulan
Agustus 2025 dan diharapkan dapat
berperan sebagai elemen sirategis
dalam mendukung pengembangan
Central Business District PIK2 (CBD PIK2),
memperkuat ekosistem bisnis, serta
mendorong aktivitas ekonomi secara
berkelanjutan di kawasan PIK2.

Perseroan berupaya memastikan
keberlanjutan operasional, optimalisasi
kinerja, serta pengembangan jangka
panjang fasilitas tersebut sebagai
bagian dari strategi Perseroan dalam

berkesinambungan bagi pemegang
saham dan pemangku kepentingan.

This capital increase is intended to
strengthen IPN's capital structure and
financial capacity in supporting its
operational activities as well as the
continved development of Meetings,
Incentives, Conferences, and Exhibitions
IMICE) facilities, which are being
realized through Nusantara International
Convention & Exhibition ("NICE").

As part of the development of MICE
facilities, NICE commenced operations
in late August 2025 and is expected to
seve as @ sirategic element in
supporting the development of the PIK2
Central Business District (CBD PIK2),
strengthening the business ecosystem,
and fostering sustainable economic
activities in the PIK2 area.

Through the sirengthening of IPN's
capital base, the Company seeks to
ensure operational sustainability,
performance optimization, and the
long-term development of these
facilities as part of the Company's
strategy to create sustainable added
value for shareholders and stakeholders.
