Uraian Informasi atau Fakta Material Pada tanggal 23 Januari 2026, Perseroan dan PT Trasindo
Murni Perkasa ("TMP"), telah membentuk satu anak usaha
baru yaitu PT Sentra Terra Indonesia ("STI"), sesuai dengan
akta No. 18 tanggal 19 Januari 2026 yang dibuat oleh Notaris
Sarah Lyndiani Hudioro, S.H., M.Kn., Notaris di Jakarta
Selatan , dan yang telah mendapat pengesahan pendirian dari
Kementerian Hukum No. AHU-0006175.AH.01.01.TAHUN
2026 tanggal 23 Januari 2026.
STI akan melakukan kegiatan usaha di bidang Real Estat,
Konstruksi, Penyediaan Makanan dan Minuman, serta
Aktivitas Penunjang Lainnya.
Keterangan mengenai struktur kepemilikan modal STI adalah
sebagai berikut:
1. PT Samindo Resources Tbk: 2.697.300 saham (99,9%)
senilai Rp 269.730.000.000.
2. PT Trasindo Murni Perkasa: 2.700 saham (0,1%) senilai Rp
270.000.000.
Dampak kejadian, informasi atau fakta Pendirian STI akan memberikan dampak positif bagi
material tersebut terhadap kegiatan perkembangan bisnis Perseroan, khususnya dalam
operasional, hukum, kondisi keuangan, diversifikasi usaha di bidang properti dan penunjang lainnya.

1. Transaksi Afiliasi: Pendirian usaha ini merupakan Transaksi Afiliasi namun dikecualikan dari kewajiban pengumuman
dan persetujuan pemegang saham independen sesuai POJK No. 42/POJK.04/2020 Pasal 6 ayat (1) huruf b, karena
merupakan penyertaan modal kepada Perusahaan Terkendali yang sahamnya dimiliki paling sedikit 99% oleh
Perusahaan Terbuka. 2. Bukan Transaksi Material: Nilai transaksi penyertaan modal ini tidak melebihi 20% dari ekuitas
Perseroan, sehingga bukan merupakan Transaksi Material sebagaimana dimaksud dalam POJK No. 17/POJK.04/2020.

Description of Material Information or On January 23, 2026, the Company and PT Trasindo Murni
Facts Perkasa ("TMP"), established a new subsidiary namely PT
Sentra Terra Indonesia ("STI"), based on deed No. 18 dated
January 19, 2026 made by Sarah Lyndiani Hudioro, S.H.,
M.Kn., Notary in South Jakarta, which has obtained the
establishment approval from the Ministry of Law No. AHU-
0006175.AH.01.01.YEAR 2026 dated January 23, 2026.
STI will carry out business activities in the field of Real Estate,
Construction, Food and Beverage, and Other Supporting
Activities.
Details of the shareholding structure of STI are as follows:
1. PT Samindo Resources Tbk: 2.697.300 shares (99,9%)
amount to Rp 269.730.000.000.
2. PT Trasindo Murni Perkasa: 2.700 shares (0,1%) amount to
Rp 270.000.000.
Impact of event, material information or The establishment of STI will have a positive impact on the
facts towards Issuers or Public Company's business development, specifically in business

Other Information
1. Affiliate Transaction: This establishment constitutes an Affiliate Transaction as the Company is the majority
shareholder. However, this transaction is exempted from the announcement and independent shareholder approval
requirements pursuant to POJK No. 42/POJK.04/2020 Article 6 paragraph (1) letter b, as it serves as a capital
injection into a Controlled Company owned at least 99% by the Public Company. 2. Not a Material Transaction: The
value of this capital injection transaction does not exceed 20% of the Company's equity, thus it does not constitute
a Material Transaction as referred to in POJK No. 17/POJK.04/2020.
