Uraian Informasi atau Fakta Material Berdasarkan Akta Nomor 120 tanggal 20 Januari 2026, yang
diterima oleh Perseroan pada tanggal 22 Januari 2026,
Perseroan telah melaksanakan penambahan kepemilikan
saham pada PT VENTENY Matahari Indonesia melalui
pembelian saham dari pemegang saham lainnya. Sebelum
transaksi tersebut, Perseroan memiliki sebesar 99,16% saham
pada PT VENTENY Matahari Indonesia. Dengan telah
efektifnya transaksi tersebut, kepemilikan saham Perseroan
meningkat menjadi sebesar 99,9% saham pada PT VENTENY
Matahari Indonesia.
Dampak kejadian, informasi atau fakta Dengan peningkatan kepemilikan Perseroan pada PT
material tersebut terhadap kegiatan VENTENY Matahari Indonesia, Perseroan diharapkan dapat
operasional, hukum, kondisi keuangan, mendukung pengembangan kegiatan usaha dan
atau kelangsungan usaha Emiten atau meningkatkan sinergi antar entitas dalam grup usaha
Perusahaan Publik Perseroan. Transaksi ini tidak menimbulkan dampak material
negatif terhadap kegiatan operasional, kondisi keuangan,
aspek hukum, maupun kelangsungan usaha Perseroan.

has implemented an increase in its share ownership in PT
VENTENY Matahari Indonesia through the acquisition of
shares from other shareholders. Prior to the transaction, the
Company held 99.16% of the shares in PT VENTENY
Matahari Indonesia. Upon the effectiveness of the transaction,
the Companys share ownership increased to 99.9% of the
shares in PT VENTENY Matahari Indonesia.
