Otoritas Jasa Keuangan Nomor 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan (“POJK 42/2020”), melalui surat ini PT
BUMA Internasional Grup Tbk (“Perseroan”)
menyampaikan laporan transaksi afiliasi (“Transaksi
Afiliasi”), sebagai berikut:
A. Tanggal and Jenis Transaksi Afiliasi

Jenis Transaksi Afiliasi: Penyertaan saham
29Metals Limited (“29Metals”) oleh Bukit
Makmur Mandiri Utama Pte. Ltd. (“BUMA SG”),
entitas anak Perseroan, melalui penerbitan
saham baru (selanjutnya 29Metals dan BUMA SG
bersama-sama disebut sebagai “Para Pihak”).
B. Informasi mengenai Transaksi Afiliasi
Pada tanggal 20 Januari 2026, BUMA SG telah
menandatangani Surat Pra-Komitmen sehubungan
dengan penyertaan saham oleh BUMA SG atas
Penawaran Hak Institusional oleh 29Metals secara
pro rata dengan tujuan untuk mempertahankan
porsi kepemilikan BUMA SG di 29Metals
(“Penawaran Institusional”).
Berdasarkan Surat Pra-Komitmen, BUMA SG
berkomitmen untuk melaksanakan seluruh haknya
yang terkait dengan Penawaran Institusional dalam
rangka mempertahankan kepemilikan sahamnya
sebesar 19,445 di 29Metals dengan mengambil
bagian sebanyak 72.903.717 (tujuh puluh dua juta

In compliance with the provisions of Financial Services
Authority Regulation ' Number 42/POJK.04/2020
concerning Affiliated Transactions and Conflict of
Interest Transactions ("POJK 42/2020"), through this
letter, PT BUMA Internasional Grup Tbk (the
“Company”) hereby conveys a report on affiliated
transaction (“Affiliated Transactions") as follows:
A. Affiliated Transaction Date and Type
- Affiliated Transaction Date: 20 January 2026
- Affiliated Transaction Type: Share subscription by
Bukit Makmur Mandiri Utama Pte. Ltd. (“BUMA
SG”), a subsidiary of the Company, through the
issuance of new shares by 29Metals Limited
(“29Metals”) (hereinafter 29Metals and BUMA SG
are collectively referred to as the “Parties”).
B. Information on Affiliated Transactions
On 20 January 2026, BUMA SG has entered into a Pre-
Commitment Letter regarding BUMA SG's shares
Subscription pursuant to the Institutional Entitlement
Offer by 29Metals, on a pro rata basis based on BUMA
SG's existing ownership stake, with the aim of
maintaining its ownership stake in 29Metals
(“Institutional Offer”).
Under the Pre-Commitment Letter, BUMA SG is
committed to exercising its entire rights associated
with the Institutional Offer, to uphold its shareholding
of 19.444 in 29Metals by subscribing for 72,903,717
(seventy-two million nine hundred three thousand
seven hundred and seventeen) new shares at @

AKartini Kav. 8, Cilandak Barat Jakarta 12430 — Indonesia S 162213043 2080 D 462213043 2081 & www.bumainternational.com BUMA sembilan ratus tiga ribu tujuh ratus tujuh belas) saham baru dengan harga penyertaan sebesar AS0,40 (empat puluh sen Dolar Australia) per saham, atau setara dengan AS29.161.486 (dua puluh sembilan juta seratus enam puluh satu ribu empat ratus delapan puluh enam Dolar Australia) (“Penyertaan Saham”). Tanggal penyelesaian atas Penyertaan Saham ini adalah 28 Januari 2026 (“Tanggal Penyelesaian”). Pada Tanggal Penyelesaian, kepemilikan BUMA SG di 29Metals akan meningkat dari 266.827.604 (dua ratus enam puluh enam juta delapan ratus dua puluh tujuh ribu enam ratus empat) saham menjadi 339.731.321 (tiga ratus tiga puluh sembilan juta tujuh ratus tiga puluh satu ribu tiga ratus dua puluh satu) saham, sehingga porsi kepemilikan BUMA SG tetap sebesar 19,44X di 29Metals, sebagaimana proporsi tersebut telah dimiliki sejak 27 Desember 2024. Dengan terjadinya Penyertaan Saham ini, kepemilikan saham BUMA SG di 29Metals adalah sebagai berikut: subscription price of AS0.40 (forty Australian cents) per share, or eguivalent to AS29,161,486 (twenty-nine million one hundred sixty-one thousand four hundred and eighty-six Australian Dollars) (the “Share Subscription”). The settlement date for this Shares Subscription is 28 January 2026 (the “Settlement Date”). Upon the Settlement Date, BUMA SG's ownership increase from 266,827,604 (two hundred sixty-six million eight hundred twenty-seven thousand six hundred four) shares to 339,731,321 (three hundred thirty-nine million seven hundred thirty-one thousand three hundred twenty-one) shares, such that BUMA SG's ownership interest will remain 19.444 in 29Metals, which has been the proportion since 27 December 2024. With this Share Subscription, the share ownership of BUMA SG in 29Metals is as follows: Sebelum Penyertaan Saham Setelah Penyertaan Saham Before Share Subscription After Share Subscription Saham/Shares | Y Saham/Shares Y BUMA SG 266.827.604 19,4496 339.731.321 19,446 Penyertaan Saham merupakan transaksi afiliasi karena Perseroan dan 29Metals memiliki anggota Dewan yang sama. Namun demikian, karena Penyertaan Saham dilakukan untuk mempertahankan persentase kepemilikan sahamnya, maka Penyertaan Saham termasuk dalam transaksi afiliasi yang dikecualikan sebagaimana diatur dalam Pasal 6 ayat (1) huruf f POJK 42/2020. . Pihak-pihak yang melakukan Transaksi Afiliasi The Share Subscription is classified as an affiliated transaction due to the Company and 29Metals share a common Board member. However, due to the Share Subscription is intended to maintain the shareholding percentage, thus it gualifies as an exempt affiliated transaction pursuant to Article 6 paragraph (1) letterf of POJK 42/2020. B. Parties to the Affiliated Transaction - BUMA SG, merupakan suatu perusahaan yang didirikan dan dijalankan berdasarkan hukum negara Republik Singapura dan berkedudukan di Singapura. 29Metals, merupakan perusahaan pertambangan tembaga dan logam dasar lainnya yang sahamnya tercatat di Bursa Efek Australia, dan berkantor pusat di Melbourne, Australia. - BUMA SG, a company established and organized under the laws of the Republic of Singapore and domiciled in Singapore. - 29Metals, d copper and base metais mining company whose shares are listed on the Australian Securities Exchange, with its head office in Melbourne, Australia.

Sifat Hubungan Transaksi Afiliasi - BUMA SG merupakan perusahaan terkendali tidak langsung Perseroan di mana sebanyak 98,466 sahamnya dimiliki oleh PT Bukit Makmur Mandiri Utama (“BUMA Indonesia”), yang juga merupakan perusahaan terkendali Perseroan, serta 1,544 sahamnya dimiliki langsung oleh Perseroan, 29Metals merupakan perusahaan investasi Perseroan yang berdasarkan — hubungan kepengurusan terdapat hubungan afiliasi dengan Perseroan dimana 29Metals memiliki anggota Dewan yang sama dengan Perseroan dan BUMA Indonesia. Penjelasan, Pertimbangan dan Alasan dilakukannya Transaksi Afiliasi Penyertaan Saham dilakukan dalam rangka mempertahankan persentase kepemilikan saham BUMA SG pada 29Metals serta untuk melindungi nilai investasi Perseroan. BUMA Nature of Affiliated Transaction - BUMA SG is an indirectly controlled company of the Company, of which 98.464 of its shares owned by PT Bukit Makmur Mandiri Utama (“BUMA Indonesia”), which is also a controlled company of the Company. Additionally, 1.545 of BUMA SG's shares are owned directly by the Company, - 29Metals is an investment company of the Company, and by virtue of management relationships, is affiliated with the Company, as 29Metals shares a common Board member with the Company and BUMA Indonesia. Explanation, Consideration and Reason for Affiliated Transaction The Share Subscription was carried out to preserve BUMA SG's shareholding percentage in 29Metals and to protect the value of the Company's investment.
