Description of Information or Material Pasal 5 ayat (1) Peraturan Otoritas Jasa Keuangan
Facts No. 9/POJK.04/2018 tentang Pengambilalihan
Perusahaan Terbuka ("POJK 9/2018'), Kalon
Holdings Co., Ltd. ("Kalon') mengumumkan
pembaruan atas proses pengambilalihan Mandom
Corporation, sebuah perusahaan yang tercatat di
Papan Utama Bursa Efek Tokyo ("MCJ').
Berdasarkan pengumuman tertanggal 15 Januari
2026, syarat dan ketentuan dani penawaran tender
atas saham MCJ telah diubah oleh Kalon, sebagai
berikut:
1. Jadwal Periode Penawaran Tender diubah
menjadi sebagai berikut:
• Sebelum: Jumat, 26 September 2025 sampai
dengan Selasa, 20 Januari 2026 (74 hari
kerja) (berdasarkan perkembangan informasi
terkait negosiasi atas rencana akuisisi
tertanggal 7 Januari 2026); dan
• Sesudah (Jadwal Baru): Jumat, 26 September
2025 sampai dengan Kamis, 29 Januari 2026
(81 hari kerja).
2. Tanggal Penyelesaian diubah menjadi sebagai
berikut:
• Sebelum: Selasa, 27 Januari 2026
(berdasarkan perkembangan informasi terkait
negosiasi atas rencana akuisisi tertanggal 7
Januari 2026); dan
• Sesudah (Jadwal Baru): Kamis, 5 Februari
2026.
Perubahan etas Jadwal Periode Penawaran Tender
dan Tanggal Penyelesaian disebabkan oleh
pengumuman MCJ mengenai diterimanya letter of
intent yang mengikat dani KOHLBERG KRAVIS
ROBERTS & CO. L.P. (termasuk afiliasi dan dana
terkaitnya) ("KKR") sehubungan dengan
pengambilalihan saham MCJ untuk menjadi
perusahaan tertutup (going private) melalui
penawaran tender atas saham MCJ dan squeeze-
out. Berdasarkan letter of intent tersebut, KKR
mengusulkan harga penawaran tender altematif dan
merencanakan untuk memulai penawaran tender
pada akhir Januari 2026. Namun demikian, jadwal

tersebut dapat berubah berdasarkan hasil
pembahasan dan negosiasi lebih lanjut dengan MCJ
atau faktor-faktor lain.
Jadwal Per/ode Penawaran Tender dan Tanggal
Penyelesaian sewaktu-waktu dapat mengalami
perubahan sesuai dengan ketentuan hukum yang
berlaku di Jepang, dan perubahan tersebut dapat
dilakukan tanpa adanya perkembangan informasi
terkait negosiasi atas rencana akuisisi lebih lanjut.
In accordance with, and in order to comply with the
provisions of Article 5 paragraph 1 of the Indonesian
Financial Services Authority Regulation No.
9/POJK.04/2018 concerning the Acquisition of Public
Companies ("POJK 9/2018'9, Kalon Holdings Co.,
Ltd. ("Kalon"), announced the updates to the
acquisition process of Mandom Corporation, a
company listed on the Prime Market of the Tokyo
Stock Exchange ("MCJ").
Referring to the announcement dated 15 January
2026, the terms and conditions of the tender offer for
the shares of MCJ have been amended by Kalon as
follows:
1. The Tender Offer Period Schedule is amended
as follows:
• Before: Friday, 26 September 2025 to
Tuesday, 20 January 2026 (74 business
days) (pursuant to the updated information
related to negotiation on acquisition plan
dated 7 January 2026); and
• After (New Schedule): Friday, 26 September
2025 to Thursday, 29 January 2026 (81
business days).
2. The Settlement Date is amended as follows:
• Before: Tuesday, 27 January 2026 (pursuant
to the updated information related to
negotiation on acquisition plan dated 7
January 2026); and
• After (New Schedule): Thursday, 5 February
2026.
The amendments to the Tender Offer Period
Schedule and the Settlement Date were caused by
the announcement of MCJ that it had received a
legally binding letter of intent from KOHLBERG
KRAVIS ROBERTS & CO. L.P. (including its affiliates
and related funds) ("KKR") regarding taking MCJ's
shares private through a tender offer for MCJ's
shares and a squeeze-out. Under the letter of intent,
KKR has proposed an alternative tender offer price
and aims to commence the tender offer by late
January 2026. However, this schedule is subject to
change based on the results of discussions and
negotiations with MCJ or other reasons.

The Tender Offer Period Schedule and the
Settlement Date may be subject to change from time
to time in accordance with the applicable laws of
Japan, and such changes may be made without any
further updated information to negotiation on
acquisition plan.
4. Dampak kejadian, informasi atau fakta Kalon akan menyampaikan perkembangan informasi
material tersebut terhadap kegiatan terkait proses pengambilalihan MCJ oleh Kalon
operasional, hukum, kondisi dengan mengacu kepada ketentuan dalam POJK
keuangan, atau kelangsungan usaha 9/2018. Namun demikian, kejadian tersebut tidak
