ko) ypes of Material Information or Facts Negotiation of the Takeover Plan Indonesia Tbk. aian Informasi atau Fakta laterial Description of Material Information or Facts Menindaklanjuti surat Saiko Consultan 2026//SC/001/OJK/IDX tanggal 19 Januari 2026 mengenai pemberitahuan atas pengumuman negosiasi sehubungan dengan Rencana Pengambilalihan PT Soraya Berjaya Indonesia Tbk., bersama ini kami sampaikan bahwa Saiko Consultancy Pte. Ltd. (“Pembeli”) bermaksud untuk mengambilalih saham yang dimiliki oleh Rizet Ramawi sebanyak-banyaknya 222.600.000 (dua ratus dua puluh dua juta enam ratus ribu) saham Perseroan, yang setara dengan paling banyak 27,83Y (dua puluh tujuh koma delapan tiga persen) dari seluruh modal ditempatkan dan disetor penuh Perseroan. Pada tanggal diumumkannya informasi ini, Pembeli tidak memiliki kepemilikan, baik secara langsung maupun tidak langsung, atas saham Perseroan. Setelah penyelesaian Rencana Pengambilalihan, sebagai pengendali baru Perseroan, Calon Pengendali Baru akan melaksanakan penawaran tender wajib sesuai dengan ketentuan dalam POJK 9/2018.. Pelaksanaan Rencana Pengambilalihan maupun penawaran tender wajib akan dilakukan dengan memperhatikan ketentuan yang berlaku, termasuk ketentuan di bidang pasar modal. Following the letter from Saiko Consultancy Pte. Ltd. No. 2026/I/SC/001/OJK/IDX dated 19 January 2026 regarding the notification of the announcement of negotiations in connection with the Proposed Acguisition of PT Soraya Berjaya Indonesia Tbk., we hereby inform you that Saiko Consultancy Pte. Ltd. (“Purchaser') intends to acguire up to 222,600,000 (two hundred twenty-two million six hundred thousand) shares of the Company owned by Rizet Ramawi, representing up to 27.83”4 (twenty-seven point eight three percent) of the Company's issued and fully paid capital. As of the date of this announcement, the Purchaser does not hold, whether directly or indirectly, any shares in the Company. Upon completion of the Proposed Acguisition, as the new controlling shareholder of the Company, the Prospective New Controller will conduct a mandatory tender offer in accordance with the provisions of POJK 9/2018.
