(Bank BRI), sesuai dengan Akta Perjanjian Fasilitas Kredit No. 50 tanggal 15 Januari 2026 (“Akta Perjanjian Fasilitas Kredit No.50/2026) sehubungan dengan pemberian penambahan fasilitas pinjaman sebesar Rp15.000.000.000 (“Transaksi”). In compliance with the provisions of POJK 17/2020, the Board of Directors of the Company hereby announce this Disclosure of Information to the shareholders that the Company, as the Borrower, has entered into the loan facility agreement (the Top Up Loan Agreement) with PT Bank Rakyat Indonesia (Persero) Tbk. (“BRI Bank”) as the Creditor based on the Deed of Loan Facility Agreement No.50 dated January 15, 2026 (the “Deed of Loan Facility No.50/2026”) in relation to the additional loan commitment at the aggregate amount up to Rp15.000.000.000 (“Transaction”). 2. | Uraian Mengenai Obyek dan Nilai Transaksi Material/ Description of the Object and Value of the Material Transaction Sesuai dengan Akta Perjanjian Fasilitas Kredit No. 50/2026, Perseroan memperoleh tambahan pokok pinjaman maksimum senilai Rp 15.000.000.000 (Lima Belas Miliar Rupiah) dengan jangka waktu 36 (tiga puluh enam) bulan terhitung sejak tanggal penandatanganan hingga 15 Januari 2029., dan tujuan penggunaan kredit adalah untuk membiayai perputaran piutang dan persediaan Perseroan. Top-Up pembiayaan ini bertujuan untuk memperkuat modal kerja Perseroan, khususnya dalam mendukung kelancaran perputaran piutang usaha dan pengelolaan persediaan, seiring dengan meningkatnya volume kegiatan operasional dan ekspansi layanan Perseroan. Fasilitas kredit ini diharapkan dapat meningkatkan fleksibilitas pendanaan, menjaga likuiditas, serta memastikan kesinambungan arus kas guna mendukung pencapaian kinerja usaha Perseroan . secara berkelanjutan. This top up facility is aimed to strengthening the working capital of the Company, specifically for maintaining the current receivables and inventory management, aligning with the increasing operational activities and the expansion services. It is expected to enabling the financing flexibility, maintaining cash liguidity as to ensure the continuing cash flow in supporting the targeted continuous business performance achievement. Fasilitas kredit tersebut merupakan Top-Up atas fasilitas kredit yang telah berjalan dengan plafon fasilitas kredit sebesar Rp.50.000.000.000 (lima puluh miliar Rupiah) sebagaimana telah diungkapkan dalam Keterbukaan Informasi Perseroan melalui surat No :4917.1/EXT-MUTU/VI/2025 tanggal 26 Juni 2025 Sehingga dengan penambahan fasilitas kredit tersebut, total plafon pinjaman Perseroan kepada PT Bank Rakyat Indonesia menjadi Rp 65.000.000.000 (Enam Puluh Lima Miliar Rupiah). This loan facility considers as the Top Up Facility of the ongoingloon facility with the aggregate principal amount at maximum of Rp.50,000,000,000 (fifity billion Indonesian Rupiah) as it has been disclosed under the Company's Disclosure Letter No: 4917.1/EXT-MUTU/VI/2025 dated June 26, 2025. Through this transaction, it is expected to increase the Company's business revenues and ensure long-term sustainable growth. Pernyataan Direksi dan Dewan Komisaris Perseroan/ Statement of Board of Directors and Board of Commissioners of the Company Sehubungan dengan Transaksi ini, Dewan Komisaris dan Direksi Perseroan menyatakan bahwa: a. Transaksi ini bukan merupakan transaksi afiliasi dan tidak mengandung benturan kepentingan sebagaimana dimaksud dalam Peraturan OJK No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. This transaction is not an affiliated transaction and does not contain any conflict of interest as referred to in OJK Regulation No.42/POJK.04/2020 as referred to in OJK Regulation No.42/POJK.04/2020 regarding Affiliated Transactions and Conflict of Interest Transactions. b. Perseroan telah mengungkapkan semua informasi yang wajib diketahui oleh masyarakat dan Otoritas Jasa Keuangan dan tidak ada fakta material yang tidak diungkapkan atau dihilangkan sehingga menyebabkan informasi yang diberikan sehubungan dengan Transaksi di atas menjadi tidak benar dan/atau menyesatkan.
