Uraian Informasi atau Fakta Material Perseroan dengan ini menyampaikan bahwa Perseroan telah
memperoleh Persetujuan Prinsip dari OJK untuk melakukan
Pemisahan Unit Usaha Syariah dengan mendirikan Bank
Umum Syariah baru dengan nama PT Bank CIMB Niaga
Syariah (CIMB Niaga Syariah).
Pelaksanaan Pemisahan Unit Usaha Syariah ini merupakan
pemenuhan kewajiban terhadap ketentuan Pasal 59 Peraturan
OJK No. 12 Tahun 2023 tentang Unit Usaha Syariah
sebagaimana dicabut sebagian melalui Peraturan OJK No. 2
Tahun 2024 tentang Penerapan Tata Kelola Syariah Bagi
Bank Umum Syariah dan Unit Usaha Syariah dan telah
disetujui oleh Rapat Umum Pemegang Saham Perseroan
tanggal 26 Juni 2025.
Dampak kejadian, informasi atau fakta Berdasarkan Peraturan OJK No. 12 Tahun 2023 tentang Unit
material tersebut terhadap kegiatan Usaha Syariah sebagaimana dicabut sebagian melalui
operasional, hukum, kondisi keuangan, Peraturan OJK No. 2 Tahun 2024 tentang Penerapan Tata
atau kelangsungan usaha Emiten atau Kelola Syariah Bagi Bank Umum Syariah dan Unit Usaha
Perusahaan Publik Syariah POJK 12/2023 yang memiliki Unit Usaha Syariah dan
melakukan pemisahan mengajukan permohonan izin usaha
bank umum syariah hasil pemisahan paling lama 6 (enam)
bulan terhitung sejak tanggal persetujuan prinsip diterbitkan.
Akta pemisahan yang dibuat oleh notaris merupakan
persyaratan dokumen permohonan izin usaha.
Dengan telah diterbitkannya Persetujuan Prinsip, Perseroan
akan melengkapi persyaratan dokumen permohonan izin
usaha, termasuk di antaranya menandatangani Akta
Pemisahan oleh dan antara Perseroan dan PT Commerce
Kapital yang dibuat oleh Notaris.

Principle approval of Spin-off of the Sharia Business Unit of
Type of Material Information or Facts the Company (Principle Approval)
Description of Material Information or The Company hereby informs that it has obtained Principle
Facts Approval from OJK to proceed with the spin-off of Sharia
Business Unit by establishing a new Sharia Commercial Bank
under the name PT Bank CIMB Niaga Syariah (CIMB Niaga
Syariah).
The implementation of the spin-off of the Sharia Business Unit
constitutes the fulfillment of the Regulation No. 12 of 2023 on
Sharia Business Units, as partially revoked by OJK Regulation
No. 2 of 2024 on the Implementation of Sharia Governance for
Sharia Commercial Banks and Sharia Business Unit, and has
been approved by Company General Meeting of Shareholders
held on 26 June 2025.
Impact of event, material information or Based on OJK Regulation No. 12 of 2023 concerning Sharia
facts towards Issuers or Public Business Units, as partially revoked by OJK Regulation No. 2
Company’s operational activities, legal, of 2024 on the Implementation of Sharia Governance for
financial condition, or going concern Sharia Commercial Banks and Sharia Business Units (POJK
12/2023), a conventional commercial bank that owns the
Sharia Business Unit and carry out spin-off must submit
business license application for the receiving sharia
commercial
bank no later than 6 (six) months from the date the principle
license is issued. The deed of spin-off,
prepared by a notary, is one of the required documents for the
business license application.
Upon the issuance of the Principle Approval, the Company will
proceed to complete the required
documents for the business license application, including
signing the Deed of Spin-off by and between the Company and
PT Commerce Kapital prepared by a Notary.
