Uraian Informasi atau Fakta Material - Pada tanggal 4 Agustus 2026, Perseroan menandatangani
Akta Pengambilalihan dengan PT MSI, dimana Perseroan
mengambil bagian atas 219.660.000 saham baru yang
diterbitkan PT MSI.
Perseroan juga menandatangani Akta Jual Beli dengan
Maybank IBG Holding Ltd., dimana Perseroan membeli
sebanyak 36.367.000 saham dari Maybank IBG Holding Ltd.
(Transaksi)
- Pengambil bagian saham baru PT MSI oleh Perseroan dan
Pembelian saham PT MSI oleh Perseroan, secara
keseluruhan mewakili 41,32% dari seluruh saham yang
ditempatkan dan disetor dalam PT MSI.
- Perseroan juga secara tidak langsung telah memiliki
penyertaan saham pada PT MSI melalui PT Maybank
Indonesia Finance, selaku anak perusahaan Perseroan,
sebesar 9,68%, sehingga setelah penyelesaian Transaksi,
Perseroan akan (baik secara langsung dan tidak langsung)
memiliki secara keseluruhan 51% saham dalam PT MSI.
- Perseroan melaksanakan Transaksi, untuk memenuhi
Peraturan Otoritas Jasa Keuangan Nomor 30 Tahun 2024
tentang Konglomerasi Keuangan dan Perusahaan Induk
Konglomerasi Keuangan.
Pengambilalihan saham atas PT MSI oleh Perseroan
dilakukan dalam rangka pembentukan Konglomerasi
Keuangan Maybank Group, dimana Perseroan berperan
sebagai Perusahaan Induk Konglomerasi Keuangan
Operasional dan PT MSI sebagai anggota Konglomerasi
Keuangan.
- Otoritas Jasa Keuangan (OJK) telah mengeluarkan
persetujuan kepada Perseroan untuk memiliki 51% saham PT
MSI berdasarkan Surat OJK Nomor S-114/PB.33/2026 tanggal
18 Mei 2026 mengenai Persetujuan atas Rencana Kegiatan
Penyertaan Modal oleh PT Bank Maybank Indonesia Tbk dan
Surat OJK Nomor S-352/PM.11/2026 tanggal 30 Juli 2026
mengenai Perubahan Susunan Pemegang Saham PT
Maybank Sekuritas Indonesia.
- Transaksi telah mendapatkan persetujuan dari Pemegang
Saham Perseroan dan Pemegang Saham PT MSI.
- Nilai atas Transaksi adalah Rp583.741.560.000,00.
- Sumber dana untuk Transaksi berasal dari realokasi dari aset
likuid/High Quality Liquid Assets (HQLA) ke dalam instrumen
investasi dalam bentuk saham.

Execution of the Share Subscription Deed between the
Type of Material Information or Facts Company and PT Maybank Sekuritas Indonesia (PT MSI), and
the Share Sale and Purchase Deed between the Company
and Maybank IBG Holding Ltd.

Description of Material Information or - On 4 August 2026, the Company executed a Share
Facts Subscription Deed with PT Maybank Sekuritas Indonesia (PT
MSI), pursuant to which the Company subscribed for
219,660,000 newly issued shares of PT MSI.
- On the same date, the Company also executed a Share Sale
and Purchase Deed with Maybank IBG Holding Ltd., pursuant
to which the Company acquired 36,367,000 shares of PT MSI
from Maybank IBG Holding Ltd. (collectively, the Transaction).
- The Company's subscription for newly issued shares and
acquisition of existing shares in PT MSI represent, in
aggregate, 41.32% of the total issued and paid-up share
capital of PT MSI.
- The Company also indirectly holds an equity interest in PT
MSI through its subsidiary, PT Maybank Indonesia Finance,
representing 9.68% of PT MSI's issued and paid-up share
capital. Accordingly, upon completion of the Transaction, the
Company will, directly and indirectly, hold an aggregate 51%
equity interest in PT MSI.
- The Transaction was undertaken in order to comply with
Financial Services Authority Regulation No. 30 of 2024
concerning Financial Conglomerates and Financial
Conglomerate Holding Companies.
- The acquisition of PT MSI forms part of the establishment of
the Maybank Group Financial Conglomerate, whereby the
Company will serve as the Operational Financial
Conglomerate Holding Company and PT MSI will become a
member of the Financial Conglomerate.
- The Financial Services Authority (OJK) has approved the
Company's ownership of 51% of the shares in PT MSI
pursuant to:
1. OJK Letter No. S-114/PB.33/2026 dated 18 May 2026
regarding the Approval of the Company's Proposed Equity
Participation; and
2. OJK Letter No. S-352/PM.11/2026 dated 30 July 2026
regarding the Change in the Shareholding Composition of PT
Maybank Sekuritas Indonesia.
- The Transaction has obtained the approval of the
shareholders of both the Company and PT MSI.
- The total Transaction value is IDR 583,741,560,000.00.
- The source of funds for the Transaction is the reallocation of
the Company's High Quality Liquid Assets (HQLA) into equity
investments.
Impact of event, material information or Upon completion of the Transaction, the Company will, directly
