Uraian Informasi atau Fakta Material Bersama Keterbukaan Informasi ini Perseroan memberikan
penjelasan dan konfirmasi bahwa:
- Berdasarkan Prospektus Penambahan Modal Dengan
Memberikan Hak Memesan Efek Terlebih Dahulu I
(PMHMETD I) yang diterbitkan tertanggal 23 Desember 2025,
Perseroan berencana menerbitkan sebanyak-banyaknya
12.800.000.000 (dua belas miliar delapan ratus juta) lembar
HMETD dimana setiap pemegang 3 (tiga) saham lama yang
tercatat dalam Daftar Pemegang Saham Perseroan tertanggal
6 Januari 2026 pukul 16.000 berhak atas 4 (empat) HMETD.
Dimana bersama setiap 50 (lima puluh) saham hasil
pelaksanaan HMETD tersebut melekat 9 (sembilan) Waran
Seri II sehingga Waran Seri II yang diterbitkan sebanyak-
banyaknya 2.304.000.000 (dua miliar tiga ratus empat juta)
lembar.
- Perseroan memberikan penjelasan bahwa terminologi
sebanyak-banyaknya digunakan dengan pertimbangan bahwa
pada tanggal 6 Januari 2026 masih dalam masa pelaksanaan
Waran Seri I dan angka 12.800.000.000 HMETD tersebut
mengasumsikan seluruh Waran Seri I telah habis dilaksanakan
sehingga seluruh modal ditempatkan dan disetor Perseroan
berjumlah 9.600.000.000 (sembilan miliar enam ratus juta)
lembar saham.
- Dalam kenyataannya, berdasarkan Daftar Pemegang Saham
Perseroan yang diterbitkan oleh BAE per tanggal 6 Januari
2026 pukul 16.00, masih terdapat Waran Seri I yang belum
dilaksanakan oleh Pemegang Waran dan modal ditempatkan
dan disetor Perseroan berjumlah 9.586.006.207 (sembilan
miliar lima ratus delapan puluh enam juta enam ribu dua ratus
tujuh) lembar sehingga jumlah HMETD yang diterbitkan bukan
sebesar 12.800.000.000 (dua belas miliar delapan ratus juta)
lembar melainkan sejumlah 12.781.341.609 (dua belas milias
tujuh ratus delapan puluh satu juta tiga ratus empat puluh satu
ribu enam ratus sembilan) lembar dan Waran Seri II yang akan
diterbitkan adalah 2.300.641.490 (dua miliar tiga ratus juta
enam ratis empat puluh satu ribu empat ratus sembilan puluh)
lembar.

atau kelangsungan usaha Emiten atau

The Company has submitted confirmation of the exact number
Type of Material Information or Facts of HMETD shares issued in the Company's PMHMETD I.
Description of Material Information or With this Disclosure of Information, the Company provides an
Facts explanation and confirmation that:
- Based on the Prospectus for Capital Increase with Pre-
emptive Rights I (PMHMETD I) issued on December 23, 2025,
the Company plans to issue a maximum of 12,800,000,000
(twelve billion eight hundred million) shares of Pre-emptive
Rights. Each holder of 3 (three) existing shares registered in
the Company's Shareholder Register as of 4:00 PM on
January 6, 2026, is entitled to 4 (four) Pre-emptive Rights.
Each 50 (fifty) shares resulting from the exercise of the Pre-
emptive Rights are accompanied by 9 (nine) Series II
Warrants, resulting in a maximum of 2,304,000,000 (two billion
three hundred and four million) Series II Warrants issued.
- The Company provides an explanation that the terminology
as much as possible is used with the consideration that on
January 6, 2026, it is still in the implementation period of
Series I Warrants and the figure of 12,800,000,000 HMETD
assumes that all Series I Warrants have been fully exercised
so that the total issued and paid-up capital of the Company is
9,600,000,000 (nine billion six hundred million) shares.
- In reality, based on the Company's Shareholder List
published by the BAE as of January 6, 2026 at 16.00, there
are still Series I Warrants that have not been exercised by
Warrant Holders and the Company's issued and paid-up
capital is 9,586,006,207 (nine billion five hundred eighty-six
million six thousand two hundred and seven) shares so that
the number of HMETD issued is not 12,800,000,000 (twelve
billion eight hundred million) shares but rather 12,781,341,609
(twelve billion seven hundred eighty-one million three hundred
forty-one thousand six hundred and nine) shares and the
Series II Warrants to be issued are 2,300,641,490 (two billion
three hundred million six hundred forty-one thousand four
hundred and ninety) shares.
