Dengan ini kami untuk dan atas nama PT Agung Podomoro Land Tbk. (“Perseroan”) menyampaikan
Laporan Informasi atau Fakta Material (“Keterbukaan Informasi”) guna memenuhi Peraturan OJK
No. 31/POJK.04/2015 tanggal 16 Desember 2015 tentang Keterbukaan Informasi atau Fakta Material
oleh Emiten atau Perusahaan Publik sebagaimana telah diubah sebagian dengan Peraturan OJK
Nomor 45 Tahun 2024 tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik (“POJK
No. 31/2015”) dan Keputusan Direksi Bursa Efek Indonesia No. Kep-00087/BEI/12-2025 tanggal 12
Desember 2025 perihal Peraturan No. I-E tentang Kewajiban Penyampaian Informasi (“Peraturan
BEI No. I-E”), dengan ini, kami bermaksud untuk menyampaikan Keterbukaan Informasi sebagai
berikut: /
We hereby for and on behalf of PT Agung Podomoro Land Tbk. (the “Company”) submit Report on
Material Information or Facts (“Information Disclosure”), pursuant to the OJK Regulation No.
31/POJK.04/2015 dated December 16, 2015 regarding Information Disclosure or Material Facts by
Issuers or Public Companies as partially amended by OJK Regulation No. 45 of 2024 on the Development
and Strengthening of Issuers and Public Companies (“POJK No. 31/2015”) and Directors Decree of
Indonesia Stock Exchange No. Kep-00087/BEI/12-2025 dated December 12, 2025 regarding the
Regulation No. I-E on the Obligation to Submit Information (“IDX Regulation No. I-E”), we hereby
intend to submit the Information Disclosure as follows:

Bidang usaha: / Pengembangan, pengelolaan dan penyewaan properti terpadu
yang meliputi apartemen, perumahan, perhotelan, perkantoran,
pertokoan, pusat perbelanjaan, dan pusat rekreasi beserta
fasilitasnya melalui Perseroan atau entitas anak Perseroan. /
Scope of business: Development, management and lease of integrated properties
which include apartments, housing, hotels, offices, stores,
shopping centers and recreation centers and its facilities through
the Company or its subsidiaries.

2. Jenis informasi atau fakta Penjualan Pusat Perbelanjaan (Mall) “Deli Park”, berlokasi di Jl.
material: / Putri Hijau / Jl. Guru Patimpus No. 1 OPQ, Kelurahan Kesawan,
Kecamatan Medan Barat, Kota Medan, Sumatra Utara (“Mall”)
yang dimiliki oleh PT Sinar Menara Deli (“SMD”), entitas anak
terkendali Perseroan, kepada PT DPM Assets Indonesia sebagai
pembeli (“DPMAI”). /
Type of material information The sale of the Shopping Center (Mall) “Deli Park”, located at Jl.
or facts: Putri Hijau / Jl. Guru Patimpus No. 1 OPQ, Kesawan Village, West
Medan District, Medan City, North Sumatra (“Mall”) owned by PT
Sinar Menara Deli (“SMD”), a controlled subsidiary of the
Company, to PT DPM Assets Indonesia as buyer (“DPMAI”).
3. Uraian informasi atau fakta Dengan merujuk pada POJK No. 31/2015 dan Peraturan BEI No.
material: / I-E, Perseroan dengan ini memberitahukan bahwa Perseroan
telah melakukan transaksi-transaksi berikut ini (“Transaksi”):
a. SMD (selaku entitas anak terkendali Perseroan) telah
menyelesaikan penjualan Mall milik SMD kepada DPMAI
melalui penandatanganan akta-akta jual beli oleh SMD dan
DPMAI di hadapan Dr. Shandi Izhandri, S.H., M.Kn., Notaris di
Medan pada tanggal 8 Januari 2026 (“Transaksi Penjualan
Tanah”); dan
b. sebagian besar dari dana yang diterima oleh SMD dari
DPMAI, akan diberikan kepada Perseroan melalui
mekanisme pembagian dividen . /
Description of material With reference to POJK No. 31/2015 and IDX Regulation No. I-E,
information or facts: the Company hereby notifies that the Company has conducted the
following transactions (“Transactions”):
a. SMD (as controlled subsidiary of the Company) has completed
the sale of the Mall owned by SMD to DPMAI through the
execution of deeds of sale and purchase by SMD and DPMAI
before Dr. Shandi Izhandri, S.H., M.Kn., Notary in Medan on
January 8, 2026 (the “Land Sale Transaction”); and
b. most of the funds received by SMD from DPMAI, will be given
to the Company through the distribution of dividends
mechanism.

4. Dampak kejadian, informasi Transaksi tidak memiliki dampak negatif terhadap kegiatan
atau fakta material tersebut operasional, hukum, kondisi keuangan atau kelangsungan usaha
terhadap Emiten atau Perseroan dengan mengingat bahwa Perseroan mendapatkan
Perusahaan Publik: / keuntungan secara finansial yang diperoleh dari Transaksi,
dimana sebagian besar dana yang diperoleh oleh SMD dalam
Transaksi Penjualan Mall ini akan dibagikan oleh SMD kepada
Perseroan sebagai dividen, untuk kemudian digunakan oleh
Perseroan untuk melakukan pembayaran kembali atas sebagian
utang Perseroan kepada Pemberi Pinjaman berdasarkan
Perjanjian Kredit. /
Impact of such event The Transactions do not have a negative impact on the
information or material facts operational activities, legal, financial conditions or going-concern
towards Issuer or Public of the Company bearing in mind that the Company obtains
Company: benefits and profits from the Transactions, whereby most of the
funds obtained by SMD in this Mall Sale Transaction will be
distributed by SMD to the Company as dividend, whereas the
Company shall use such dividend to partially repay the Company’s
loan to the Lender based on the Credit Agreement.
5. Keterangan lain-lain: / a. Transaksi bukan merupakan transaksi material
sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha.
b. Transaksi bukan merupakan transaksi afiliasi sebagaimana
dimaksud dalam Peraturan OJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan. /
Other information: a. The Transaction shall not constitute as material transaction
as regulated under OJK Regulation No. 17/POJK.04/2020
regarding Material Transactions and Changes of Business
Activities.
b. The Transaction shall not constitute as affiliated party
transaction as regulated under OJK Regulation No.
42/POJK.04/2020 regarding Affiliated Transaction and
Conflict of Interest Transactions.
