Information or Facts The transfer of a portion of the Company’s Series B share ownership held by PT Danatara
Asset Management (Persero) (‘PT DAM’) to the Government of the Republic of Indonesia
through the Agency for the Regulation of State-Owned Enterprises of the Republic of
Indonesia (‘BP BUMN’).
3 Uraian Informasi 1. Merujuk pada Pasal 2 ayat (3) Undang-Undang Nomor 16 Tahun 2025, diatur bahwa
atau Fakta Material/ kepemilikan saham Negara Republik Indonesia pada BUMN adalah sebesar 1% (satu

Referring to Article 2 paragraph (3) of Law Number 16 of 2025, it is stipulated that the

Enterprises (SOEs) is 1% (one percent), constituting Series A Dwiwarna shares held
through the Head of BP BUMN.
2. Sehubungan dengan butir 1 di atas, maka BP BUMN dan DAM melalui surat butir e dan
f sebagaimana tersebut di atas pada pokoknya menyampaikan bahwa pada tanggal 5
Januari 2025 telah dilakukan penandatanganan perjanjian pengalihan sebagian Saham
Seri B milik DAM pada Perseroan kepada BP BUMN yang selanjutnya saham dimaksud
akan diklasifikasikan menjadi Saham Seri A Dwiwarna./
In connection with point 1 above, BP BUMN and DAM, through letters e and f as
mentioned above, essentially stated that on January 5, 2025, an agreement was signed
to transfer part of DAM's Series B Shares in the Company to BP BUMN, which will then
be classified as Series A Dwiwarna Shares.
3. Selanjutnya, BP BUMN dan DAM menyampaikan permintaan kepada Perseroan untuk
melakukan pelaporan atas perubahan kepemilikan saham tersebut kepada Otoritas
Jasa Keuangan dan Bursa Efek Indonesia dalam rangka pemenuhan POJK 4/2024
serta laporan lainnya yang diperlukan sesuai ketentuan yang berlaku./
Furthermore, BP BUMN and DAM requested the Company to submit reports on the
change in share ownership to the Financial Services Authority (Otoritas Jasa Keuangan)
and the Indonesia Stock Exchange, in order to comply with POJK 4/2024 as well as
other required reports in accordance with the applicable regulations.
4. Berdasarkan Surat BP BUMN dan DAM tersebut di atas, maka Perseroan melaporkan
hal-hal sebagai berikut:/

3. Jenis transaksi Pengalihan saham milik PT Danantara Asset Management
yang dilakukan/ (Persero) (selanjutnya disebut DAM) kepada Badan

Saham Milik Negara Republik Indonesia Berupa Saham Seri
B Pada BUMN Kepada Badan Pengaturan Badan Usaha Milik
Negara Nomor PERJ-1/BPU/01/2026 dan Nomor
LGL1.001/PERJ/DI-DAM.DO/2026 tanggal 5 Januari 2026
antara Kepala BP BUMN dan DAM, dimana DAM telah
menyerahkan saham BBTN kepada BP BUMN dengan
demikian BP BUMN memiliki saham sebesar 1% (satu
persen) dari jumlah kepemilikan Negara melalui BP BUMN
dan DAM dalam BBTN./
The transfer of shares owned by PT Danantara Asset
Management (Persero) (hereinafter referred to as DAM) to
the State-Owned Enterprises Regulatory Agency (hereinafter
referred to as BP BUMN) in the context of implementing Law
No. 16 of 2025.
The share ownership transfer transaction was executed
through the signing of the Share Transfer Agreement of
Shares of the Republic of Indonesia in the Form of Series B
Shares in State-Owned Enterprises to the State-Owned
Enterprises Regulatory Agency, No. PERJ-1/BPU/01/2026
and No. LGL1.001/PERJ/DI-DAM.DO/2026, dated 5 January
2026, between the Head of BP BUMN and DAM, whereby
DAM transferred BBTN shares to BP BUMN. As a result, BP
BUMN now holds 1% (one percent) of the State’s ownership

in BBTN through BP BUMN and DAM.
4. Jumlah saham Sejumlah 84.206.665 (delapan puluh empat juta dua ratus
yang dialihkan/ enam ribu enam ratus enam puluh lima) yang terdiri dari
Number of shares Saham Seri B atau sebesar 0,60% (nol koma enam nol
transferred persen) dari seluruh saham yang diterbitkan dan disetor
penuh BBTN./
A total of 84,206,665 (eighty-four million two hundred six
thousand six hundred sixty-five) shares, consisting of Series
B Shares, or equivalent to 0.60% (zero point six zero percent)
of all issued and fully paid-up shares of BBTN.
5. Klasifikasi Saham Seri B dengan Nilai Nominal Rp500,00 (lima ratus
saham/ rupiah) per lembar saham./
Share Series B Shares with a nominal value of IDR 500.00 (five
Classification hundred rupiah) per share.
6. Harga Harga saham ditentukan berdasarkan nilai buku sebesar
pengalihan per Rp42.103.332.500,00 (empat puluh dua miliar seratus tiga
saham/ juta tiga ratus tiga puluh dua ribu lima ratus rupiah) yang mana

per share secara definitif berdasarkan Keputusan Kepala BP BUMN./
The share price is determined based on the book value of IDR
42.103.332.500,00 (forty-two billion one hundred three million
three hundred thirty-two thousand five hundred rupiah), which
uses a provisional value and will be definitively established
later based on the Decision of the Head of BP BUMN.

8. Tujuan dari Transaksi pengalihan kepemilikan saham BBTN milik DAM

Series B Shares owned by BP BUMN, and indirect ownership
by the State of the Republic of Indonesia through DAM
consists of 8,336,459,982 (eight billion three hundred thirty-
six million four hundred fifty-nine thousand nine hundred
eighty-two) Series B Shares, consolidated under the Daya
Anagata Nusantara Investment Management Agency.
