(Persero) di PT Krakatau Steel (Persero) Tbk Kepada Negara Republik Indonesia
Melalui Badan Pengaturan Badan Usaha Milik Negara / Disclosure of Information
or Material Facts Partial Transfer of Series B Shares Owned by PT Danantara Asset
Management (Persero) in PT Krakatau Steel (Persero) Tbk to The Republic of
Indonesia, Through the State-Owned Enterprise Regulatory Agency.
Merujuk kepada (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK
31/2015”) sebagaimana terakhir diubah sebagian oleh Peraturan OJK Nomor 45 Tahun 2024
tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik (“POJK 45/2024”) dan
(ii) Peraturan Nomor I-E, Lampiran Surat Keputusan Direksi PT Bursa Efek Indonesia Jakarta
No. Kep-00087/BEI/12-2025 tertanggal 12 Desember 2025 tentang Kewajiban Penyampaian
Informasi (“Peraturan BEI No. I-E”), dengan ini kami untuk dan atas nama perusahaan
menyampaikan Laporan Informasi atau Fakta Material sebagai berikut /Referring to (i) Financial
Services Authority (“OJK”) Regulation No. 31/POJK.04/2015 concerning Disclosure of Material
Information or Facts by Issuers or Public Companies (“POJK 31/2015”) as most recently
amended in part by OJK Regulation No. 45 of 2024 concerning Development and Strengthening
of Issuers and Public Companies (“POJK 45/2024”) and (ii) Regulation No. I-E, Attachment to
the Decree of the Board of Directors of PT Bursa Efek Indonesia Jakarta No. Kep-00087/BEI/12-
2025 dated December 12, 2025 concerning Obligations to Submit Information (“BEI Regulation

Description of a) Surat Kepala Badan Pengaturan Badan Usaha Milik
Material Information Negara selaku Pemegang Saham Perseroan No. S-
or Facts 28/BPU/01/2026 perihal Pemberitahuan
Penandatanganan Perjanjian Pengalihan Saham PT
Krakatau Steel (Persero) Tbk
b) Surat PT Danantara Asset Management (Persero) selaku
Holding Operasional No. SR.002/DI-DAM/DO/2026
perihal Pemberitahuan Penandatanganan Perjanjian
Pengalihan Saham PT Krakatau Steel (Persero) Tbk
yang menyatakan bahwa sehubungan dengan telah
ditetapkannya Undang-Undang Nomor 16 Tahun 2025 tentang
Perubahan Keempat atas Undang-Undang Nomor 19 Tahun
2003 tentang Badan Usaha Milik Negara yang antara lain
memuat ketentuan kepemilikan saham sebagaimana dalam
Pasal 2 ayat (3) yaitu Negara Republik Indonesia memiliki
saham 1% pada BUMN yang merupakan saham seri A
Dwiwarna melalui Kepala Badan Pengaturan BUMN (“BP
BUMN”) dan PT Danantara Asset Management (Persero)
(“DAM”), memberitahukan informasi sebagai berikut:
1) BP BUMN selaku Pemegang Saham Perseroan menyetujui
untuk menerima pengalihan dan DAM selaku Pemegang
Saham Perseroan menyetujui untuk mengalihkan atas
sebagian saham Seri B milik DAM di Perseroan yang terdiri
dari 154.771.174 (seratus lima puluh empat juta tujuh
ratus tujuh puluh satu ribu seratus tujuh puluh empat)
lembar saham.
2) Nilai definitif dari pengalihan saham sebagaimana
dimaksud pada butir 1 ditetapkan setelah diterbitkannya
penetapan dari Kepala BP BUMN.
3) Berkenaan dengan butir 1 di atas, pada tanggal 05 Januari
2026, BP BUMN selaku Wakil Pemerintah sebagai
Pemegang Saham Negara Republik Indonesia pada
Perseroan dengan Direktur DAM telah menandatangani
perjanjian pengalihan saham DAM pada Perseroan ke dan
dalam modal saham Negara Republik Indonesia melalui
BP BUMN dimaksud, sehingga sejak tanggal perjanjian
pengalihan saham tersebut Negara Republik Indonesia
melalui BP BUMN merupakan pemegang saham Perseroan
sebagaimana dimaksud dalam butir 1 di atas.
On 06 January 2026, the Company received:
a) A letter from the Head of the State-Owned Enterprise
Governance Agency, in its capacity as the Shareholder of
the Company, No. S-22/BPU/01/2026 regarding the
Notification of the Signing of the Share Transfer
Agreement of PT Krakatau Steel (Persero) Tbk; and

b) A letter from PT Danantara Asset Management (Persero),
in its capacity as the Operational Holding, No.
SR.010/DIDAM/DO/2026 regarding the Notification of the
Signing of the Share Transfer Agreement of PT Krakatau
Steel (Persero) Tbk,
which state that in connection with the enactment of Law
Number 16 of 2025 on the Fourth Amendment to Law Number
19 of 2003 on State Owned Enterprises (“Law 16/2025”),
which among others stipulates provisions on share ownership
as set out in Article 2 paragraph (3), namely that the
Government of the Republic of Indonesia holds 1% share
ownership in a StateOwned Enterprise in the form of Series A
Dwiwarna shares through the Head of the StateOwned
Enterprise Governance Agency (“BP BUMN”) and PT
Danantara Asset Management (Persero) (“DAM”) hereby
convey the following information:
1) BP BUMN, in its capacity as the Shareholder of the
Company, has approved to receive the transfer, and DAM,
in its capacity as the Shareholder of the Company, has
approved to transfer part of DAM’s Series B shares in the
Company, amounting to 154.771.174 (one hundred fifty
four million seven hundred seventy one thousand one
hundred seventy four) shares.
2) The definitive value of the share transfer as referred to in
item 1 above will be determined after the issuance of a
determination by the Head of BP BUMN.
3) In relation to item 1 above, on 05 January 2026, BP BUMN,
in its capacity as the representative of the Government as
the shareholder of the Republic of Indonesia in the
Company, and the Director of DAM executed a share
transfer agreement for the transfer of DAM’s shares in the
Company to and into the share capital of the Republic of
Indonesia through BP BUMN, thereby as of the date of
such share transfer agreement, the Government of the
Republic of Indonesia through BP BUMN became a
shareholder of the Company as referred to in item 1 above
4. Dampak kejadian/ : Dengan telah terjadinya pengalihan saham dari DAM kepada
The impact of the BP BUMN, maka kepemilikan saham BP BUMN pada Perseroan
event menjadi 1 lembar saham Seri A Dwiwarna dan 154.771.174
(seratus lima puluh empat juta tujuh ratus tujuh puluh satu
ribu seratus tujuh puluh empat) lembar saham Seri B.
Saham Seri B yang dialihkan kepada Negara Republik
Indonesia melalui BP BUMN akan diklasifikasikan menjadi
saham Seri A Dwiwarna sehingga nantinya kepemilikan saham
Seri A Dwiwarna Negara Republik Indonesia melalui BP BUMN
pada Perseroan menjadi 1%.

With the occurrence of the transfer of shares from DAM to BP
BUMN, the share ownership of BP BUMN in the Company
becomes 1 Series A Dwiwarna share and 154,771,174 (one
hundred fifty four million seven hundred seventy one thousand
one hundred seventy four) Series B shares.
The Series B shares transferred to the Government of the
Republic of Indonesia through BP BUMN will be classified as
Series A Dwiwarna shares, thereby resulting in the ownership
of Series A Dwiwarna shares of the Government of the
Republic of Indonesia through BP BUMN in the Company
becoming 1%
