3. Uraian Informasi atau Fakta 1. Berdasarkan Keputusan Rapat Umum Pemegang Saham
Material pada 30 Juli 2026 (“RUPS”) telah disetujui
pemberhenNan dengan hormat anggota Dewan
Komisaris Perseroan sebagai berikut:
a. Bpk. Alwie Handoyo – Komisaris Utama
b. Bpk. Rahmat Sukendar – Komisaris Independen
2. Selanjutnya RUPS Perseroan juga telah menyetujui:
a. Mengangkat Bpk. Samuel Marpaung menjadi
Komisaris Utama;
b. Mengangkat Bpk. Maruli Tua Butarbutar menjadi
Komisaris Independen; dan
3. Pengangkatan kedua pengurus tersebut berlaku efekNf
sejak ditutupnya Rapat ini sampai dengan penutupan
Rapat Umum Pemegang Saham Tahunan Perseroan yang
akan diselenggarakan pada tahun 2027 .

Material Facts MeeNng of Shareholders on July 30, 2026 (“EGM”), the
following members of The Company’s Board of
Commissioners have been honourably dismissed:
a. Mr. Alwie Handoyo – President Commissioner
b. Mr. Rahmat Sukendar – Independent Commissioner
2. Furthermore, the Company’s General MeeNng of
Shareholders has also approved:
a. Appointment of Mr. Samuel Marpaung as President
Commissioner; and
b. Appointment of Mr. Maruli Tua Butarbutar as
Independent Commissioner.
3. The appointment of the aforemenNoned two members
of the Board shall take effect as of the close of this

MeeNng and shall conNnue unNl the close of the
Company's Annual General MeeNng of Shareholders to
be convened in 2027.
