HARUM @energy DEFINISI DEFINITIONS BEI adalah singkatan dari Bursa Efek Indonesia, yaitu penyelenggara pasar di pasar modal untuk transaksi bursa. Buyback Saham memiliki arti sebagaimana dimaksud pada bagian Pendahuluan Keterbukaan Informasi ini. Keterbukaan Informasi berarti keterbukaan informasi ini yang dibuat dan dipublikasikan oleh Perseroan kepada OJK, BEI dan masyarakat dalam rangka pemenuhan ketentuan POJK 13/2013. OJK memiliki arti sebagaimana dimaksud pada bagian awal Keterbukaan Informasi ini. Shares Buyback shall have the meaning given to it in the Introduction of this Disclosure of Information. Disclosure of Information means this disclosure of information prepared and published by the Company to OJK, IDX and public in compliance with the provisions of POJK 13/2023. OJK shall have the meaning given to it in the beginning of this Disclosure of Information. Company means PT Harum Energy Tbk, a public listed company whose shares are listed at the IDX, established and operated under the laws of the Republic of Indonesia, having its domicile in Central Jakarta, as defined in the beginning of this Disclosure of Information. POJK 13/2023 shall have the meaning given to it in the beginning of this Disclosure of Information. POJK 29/2023 means Regulation of OJK No. 29 Year 2023 regarding the Buyback of Shares Issued by Public Company. IDR or Rupiah means Indonesian Rupiah, the lawful currency of the Republic of Indonesia. HARUM @energy PENDAHULUAN INTRODUCTION Perseroan berencana untuk melaksanakan pembelian kembali (buyback) saham Perseroan dengan mengacu pada ketentuan POJK 13/2023 (“Buyback Saham”). Sesuai dengan ketentuan POJK 13/2023, dalam hal terjadi kondisi pasar yang berfluktuasi sebagaimana ditetapkan oleh OJK melalui Surat OJK No. S- 102/D.04/2025 tanggal 17 September 2025 tentang Kebijakan Pelaksanaan Pembelian Kembali Saham yang Dikeluarkan oleh Perusahaan Terbuka dalam Kondisi Pasar yang Berfluktuasi Secara Signifikan, Perseroan dapat melakukan pembelian kembali saham kembali tanpa persetujuan RUPS, setelah menyampaikan keterbukaan informasi kepada OJK dan BEI serta melakukan pengumuman kepada masyarakat. Direksi Perseroan dengan ini mengumumkan Keterbukaan Informasi ini dengan maksud untuk prinsip keterbukaan informasi dan memberikan informasi kepada OJK, BEI dan masyarakat, sehubungan dengan Buyback Saham. memenuhi A. PERKIRAAN JADWAL, PERKIRAAN BIAYA DAN PERKIRAAN JUMLAH NILAI NOMINAL SELURUH SAHAM YANG AKAN DIBELI KEMBALI I. PERKIRAAN JADWAL Berikut ini adalah tanggal-tanggal yang berkaitan dengan pelaksanaan Buyback Saham: No. Keterangan / Description The Company plans to buy back the shares of the Company pursuant to the provisions of POJK 13/2023 (“Shares Buyback”). Pursuant to POJK 13/2023, in the event of significantly fluctuating market conditions as determined by OJK through Letter of OJK No. S- 102/D.04/2025 dated 17 September 2025 regarding Policy on Buyback of Shares issued by Public Company in Significantly Fluctuating Market Conditions, the Company may conduct share buyback without the approval of the GMS, after disclosing the information to OJK and IDX as well as making the announcement to public. The Board of Directors of the Company hereby announce this Disclosure of Information with the intention to comply with the principle of transparency and to provide information to OJK, IDX and public, in relation to the Shares Buyback. . ESTIMATED TIMELINE, ESTIMATED COST AND ESTIMATED TOTAL NOMINAL VALUE OF THE SHARES TO BE BOUGHT BACK 1. 1" HARUM 6 energy PERKIRAAN BIAYA PEMBELIAN KEMBALI SAHAM Perseroan akan menganggarkan sejumlah dana yang berasal dari kas internal Perseroan dengan jumlah perkiraan maksimal sebesar Rp335.000.000.000 untuk pelaksanaan Buyback Saham, termasuk untuk membiayai, diantaranya, biaya transaksi, biaya pedagang perantara dan biaya lainnya yang terkait. Lebih lanjut, Perseroan menyatakan bahwa sumber dana yang digunakan untuk membiayai pelaksanaan Buyback Saham tersebut: (a) tidak akan kemampuan keuangan Perseroan secara signifikan untuk memenuhi kewajiban yang akan jatuh tempo, (b) berasal dari dana internal Perseroan, (c) bukan merupakan dana hasil Penawaran Umumy, dan (d) bukan merupakan dana yang berasal dari pinjaman dan/atau utang dalam bentuk apapun. mempengaruhi PERKIRAAN JUMLAH NILAI NOMINAL SAHAM YANG AKAN DIBELI KEMBALI Untuk pelaksanaan Buyback Saham, perkiraan jumlah saham yang akan dibeli kembali oleh Perseroan adalah maksimal sebanyak 328.159.941 lembar saham atau setara dengan 2,434 dari ditempatkan dan disetor Perseroan. Berdasarkan perkiraan tersebut, dengan nilai modal nominal Rp20 per saham, maka jumlah nilai nominal saham yang akan dibeli kembali oleh Perseroan adalah sebesar Rp6.563.198.820. Dengan tunduk pada ketentuan POJK 13/2023, jumlah seluruh saham yang dibeli kembali oleh Perseroan pada saat diselesaikannya Buyback Saham tidak akan melebihi 2096 dari modal ditempatkan dan disetor Perseroan. II. ESTIMATED COST FOR SHARES BUYBACK The Company will budget a certain amount of fund from its internal cash with an estimated maximum amount of 1DR335,000,000,000 for the implementation of the Shares Buyback, including to fund, among others, transaction costs, brokerage Jees and other related costs. Further, the Company represents that the source of fund to be utilized for funding the implementation of the Shares Buyback: (a) will not significantly affect the Company's financial capability to fulfill any maturing obligations, (b) comes from the Company's internal funds, (c) is not the proceeds of a Public Offering, and (d) is not the proceeds from a loan and/or debt of any form. II. ESTIMATED TOTAL NOMINAL VALUE OF THE 'SHARES TO BE BOUGHT BACK For the implementation of the Shares Buyback, the estimated number of shares to be bought back by the Company would be in the maximum amount of 328,159,941 shares or eguivalent to 2.434 of the total subscribed and paid-up capital of the Company. Based on such estimation, with a nominal value of Rp20 per shares, then the total nominal value of shares to be bought back by the Company would be IDR6,563,198,820. In compliance with the provisions of POJK 13/2023, the total number of shares that being bought back by the Company at the completion of Shares Buyback will not exceed 205 of the total subscribed and paid-up capital of the Company.

PERKIRAAN MENURUNNYA PENDAPATAN PERSEROAN SEBAGAI AKIBAT PELAKSANAAN PEMBELIAN KEMBALLI SAHAM DAN DAMPAK ATAS BIAYA PEMBIAYAAN PERSEROAN Perseroan berkeyakinan bahwa pelaksanaan Buyback Saham tidak akan memberikan dampak negatif yang material terhadap kegiatan usaha Perseroan mengingat Perseroan memiliki modal kerja serta kas dan setara kas yang cukup untuk mendanai Buyback Saham bersamaan dengan kegiatan usaha Perseroan. PROFORMA LABA PERSEROAN PER SAHAM SETELAH PEMBELIAN KEMBALI — SAHAM DILAKSANAKAN B. ESTIMATION ON THE DECREASE OF THE COMPANY'S REVENUE RESULTING FROM THE IMPLEMENTATION OF SHARES BUYBACK AND IMPACT ON THE COMPANY'S FINANCING COSTS The Company believes that the implementation of Shares Buyback will not cause any material negative adverse impact to the Company's business considering that the Company has sufficient working capital as well as cash and cash eguivalent to fund the Shares Buyback simultaneously with the Company's business activities, . PROFORMA OF THE COMPANY'S PROFITS PER SHARE AFTER THE IMPLEMENTATION OF THE SHARES BUYBACK Berikut ini adalah proforma laba Perseroan per saham setelah dilaksanakannya Buyback Saham, yang dihitung dengan asumsi bahwa biaya pelaksanaan Buyback Saham adalah sebesar Rp335.000.000.000 (setara sekitar USD20 juta”, sesuai dengan perkiraan biaya pembelian kembali yang dimaksud dalam paragraf A.II di atas. “) menggunakan nilai tukar rerata Bank Indonesia pada tanggal 2 Januari 2026, yaitu Rp16.720/ USD1. E. PEMBATASAN HARUM 6) energy JANGKA WAKTU PEMBELIAN KEMBALI SAHAM Sesuai dengan ketentuan POJK 13/2023, Buyback Saham akan dilaksanakan dalam jangka waktu paling lama 3 bulan setelah Keterbukaan Informasi ini, sesuai dengan jadwal sebagaimana dimaksud dalam paragraf A.I di atas. F. METODE YANG AKAN DIGUNAKAN UNTUK PEMBELIAN KEMBALI SAHAM Buyback Saham dilakukan melalui Perseroan BEI, dan akan menunjuk satu perantara pedagang efek untuk melaksanakan Buyback Saham melalui perdagangan di BEI selama periode pelaksanaan Buyback Saham. Pihak-pihak sebagai berikut: (a) (b) (e) dilarang “melakukan anggota Dewan Komisaris, anggota Direksi, pegawai dan pemegang saham utama Perseroan, suatu orang perseorangan yang karena kedudukan atau profesinya atau karena hubungan usahanya dengan Perseroan memungkinkan orang tersebut memperoleh informasi orang dalam, atau setiap pihak yang dalam waktu 6 bulan terakhir tidak lagi menjadi pihak sebagaimana dimaksud dalam huruf (a) dan huruf (b), transaksi atas saham Perseroan pada hari yang sama dengan pembelian kembali saham atau penjualan saham hasil pembelian kembali yang dilakukan oleh Perseroan melalui BEI. E. LIMITATION ON PERIOD FOR THE SHARES BUYBACK Pursuant to the provisions of POJK 13/2023, the Shares Buyback will be implemented within a maximum period of 3 months after this Disclosure of Information, pursuant to the schedule as set out in paragraph A.I above. F. METHODS TO BE USED FOR THE SHARES BUYBACK The Shares Buyback will be carried out through IDX, and the Company will appoint a securities brokerto carry out the Shares Buyback through trading in the IDX during the period of implementation of Shares Buyback. PEMBAHASAN DAN ANALISIS MANAJEMEN MENGENAI PENGARUH PEMBELIAN KEMBALI SAHAM TERHADAP KEGIATAN USAHA DAN PERTUMBUHAN PERSEROAN Di MASA MENDATANG Buyback Saham menggunakan asumsi bahwa jumlah kebutuhan dana untuk pelaksanaan Buyback Saham adalah maksimal sebesar Rp335.000.000.000. Pelaksanaan Buyback Saham diharapkan tidak akan berdampak terhadap kegiatan usaha dan operasional Perseroan secara negatif karena Perseroan telah memiliki modal kerja yang cukup baik untuk menjalankan kegiatan usaha Perseroan. G. MANAGEMENT DISCUSSION AND ANALYSIS ON THE IMPACT OF THE SHARES BUYBACK TO THE COMPANY'S BUSINESS AND GROWTH IN THE FUTURE The Shares Buyback is based on the assumption that the amount of funds reguired for the implementation of Shares Buyback is in the maximum amount of IDR335,000,000,000. The implementation of Shares Buyback is expected not to cause any negative impact on the Company's business and operation considering that the Company has maintained sufficient working capital to carry out its business activities.
