Sudirman Kav. 52-53 Jakarta 12190 Perihal: Realisasi Rencana Pemulihan Kondisi Penyebab Suspensi dari PTLionmesh Prima Tbk Dengan hormat, Merujuk pada Ketentuan 1!Il.5.2.3 Peraturan Bursa Nomor I-N tentang Pembatalan Pencatatan (Delisting) dan Pencatatan Kembali (Relisting) Saham di Bursa, dengan ini kami sampaikan laporan perkembangan realisasi rencana pemulihan kondisi yang menyebabkan suspensi antara lain sebagai berikut: Situasi: Perusahaan memiliki saham free float sekitar 14.432.000 saham atau sebesar 15,034 dari saham beredar yaitu sebesar 96.000.000 saham Dengan — demikian Perseroan — telah memenuhi persyaratan minimum 7,54 dari saham yang beredar namun belum memenuhi persyaratan untuk 50 juta saham free float. Bagi Perseroan untuk memenuhi persyaratan 50 juta saham free float terlalu tinggi, yang mewakili 52,084 dari saham yang beredar. Tindakan yang bisa dilakukan oleh Perseoran antara lain : 1) Pemecahan Saham: Perusahaan telah — mempertimbangkan tindakan korporasi seperti pemecahan saham untuk memenuhi persyaratan jumlah minimum saham free float. Untuk memenuhi persyaratan 50 juta saham free float, Jakarta, 31 Desember 2025 Subject: Realization of the Recovery Plan for the Conditions that Caused the Suspension Of PT Lionmesh Prima Tbk Dear Sirs, With reference to Section 1II.5.2.3 of the IDX Regulation No. I-N concerning Delisting and Relisting of Shares on the Exchange, we hereby submit a progress report on the realization of the recovery plan to address the conditions that led to the suspension, as follows: The Company has approximately 14,432,000 free float shares, representing 15.039 of the 96,000,000 outstanding shares. Therefore, the Company has met the minimum reguirement of 7.596 of outstanding shares, but has not yet met the reguirement of 50 million free float shares. Base on the 50 million free float shares reguirement this would represent 52.084 of outstanding shares which is extremely high. Actions that has been taken by the Company include: 1) Stock Split: The Company has considered corporate actions such as a stock split to meet the minimum free float share reguirement. Namun, karena nilai harga saham Perseroan rendah, pemecahan saham akan menyebabkan menurunnya harga saham dan dikuatirkan akan berada di bawah persyaratan harga saham teoritis. Rencana tersebut telah berkonsultasi dengan Bursa dan disetujui dengan ratio 1:1 (menerbitkan 1 saham baru untuk setiap saham yang ada), jumlah total saham akan menjadi 192.000.000 saham, dengan demikian jumlah saham free float setelah pemecahan saham sekitar 30,06 juta saham, yang masih lebih rendah dari persyaratan 50 juta saham free float. 2) Tindakan Korporasi Lainnya: Perusahaan juga telah mempertimbangkan tindakan korporasi lain seperti pengambilalihan oleh perusahaan lain dan menerbitkan saham baru (right issue), yang akan memenuhi persyaratan saham free float. Namun, diskusi ini masih bersifat pendahuluan. 3) Keterlibatan Investor: Perusahaan mencari dan melakukan pendekatan kepada calon — calon investor baru yang berminat berinvestasi pada Perseroan. Sehubungan dengan disuspensinya saham Perseroan dan kondisi Perseroan dalam 3 (tiga) tahun terakhir mengalami kerugian, maka Perseroan sulit akn melakukan corporate action tersebut namun Perseroan harus bangkit ditengah kondisi pasar yang kurang mendukung untuk meningkatkan Kinerja nya. The Company plans to implement a stock split with a minimum of 1:4 (issuing 4 new shares for every existing share). However, due to the Company's low share price, a stock split would cause the share price to decline, to below the theoretical share price reguirement. The plan has been consulted with the Stock Exchange and approved with a 1:1 ratio (issuing 1 new share for every existing share), the total number of shares will be 192,000,000 shares, thus the number of free float shares after the stock Split is approximately 30.06 million shares, which is still lower than the reguirement of 50 million free float shares. 2) Corporate Actions: The company has also considered other corporate actions, such as a takeover by another company and a rights issue, which would meet the free float reguirement. However, these discussions are still preliminary. 3) Investor Engagement: The Company seeks and approaches potential : new investors who are interested in investing in the Company. Due to the suspension of the Company's shares and the Company's losses over the past three years, it is difficult for the Company to undertake such corporate action. However, the Company endeavours to recover amidst unfavorable market conditions to improve its performance.
