LGI acompanyof Hanwha Implementation of the Partial Transfer of Shares by PT Hanwha Life Insurance Indonesia to Hanwha General Insurance Co., Ltd. Description of Material or Facts Uraian Informasi atau Fakta Material/ Pada tanggal 29 Desember 2025 (“Tanggal Penyelesaian”), telah dilaksanakan pengalihan sebagian saham Perseroan oleh PT Hanwha Life Insurance Indonesia (“HLIM”) kepada Hanwha General Insurance Co.Ltd (“HGI”) yaitu 46,644 atau 1.398.000.000 saham Perseroan dengan nilai nominal sebesar Rp914.292.000.000,- (“Transaksi Pengalihan Sahan”). Pada keterbukaan informasi yang Perseroan telah sampaikan pada tanggal 11 Maret 2025, HGI merupakan pemilik atas 447.000.000 saham dalam Perseroan yang merupakan 14,94 dari modal dan ditempatkan Perseroan. Setelah Tanggal Penyelesaian, maka HGI memiliki 1.845.000.000 saham yang merupakan 61,546 dari modal ditempatkan dan disetor Perseroan. Transaksi Pengalihan Saham dilakukan dalam rangka memenuhi ketentuan Pasal 12 Peraturan Otoritas Jasa Keuangan Nomor 5 Tahun 2023 tentang Perubahan Kedua atas Peraturan Otoritas Jasa Keuangan Nomor T1/POJK.05/2016 tentang Kesehatan Keuangan Perusahaan Asuransi dan Perusahaan Reasuransi. LGI acompanyof Hanwha Nomor 9/POJK.04/2018 tentang Pengambilalihan Perusahaan Terbuka. On 29 December 2025 (the “Settlement Date”), a partial transfer of the Company's shares was carried out by PT Hanwha Life Insurance Indonesia (“HLII) to Hanwha General Insurance Co., Ltd. (“HGP), representing 46.646 or 1,398,000,000 shares of the Company, with a nominal transaction value of Rp914,292,000,000 (the “Share Transfer Transaction”). As of the information disclosure date previously submitted by the Company on 11 March 2025, HGI owned 447,000,000 shares in the Company, representing 14.996 of the Company's issued and paid-up capital. Following the Settlement Date, HGI owns 1,845,000,000 shares, representing 61.544 of the Company's issued and paid-up capital. The Share Transfer Transaction was carried out in order to comply with the provisions of Article 12 of OJK Regulation No. 5 of 2023 concerning the Second Amendment to OJK Regulation No. 71/POJK.05/2016 on the Financial — Soundness of Insurance Companies and Reinsurance Companies. The Share Transfer Transaction does not result in a change of control of the Company, as both HLII and HGI are entities under the ultimate control of Hanwha Life Insurance Co., Ltd. (HLI). Accordingly, the parties are not reguired to conduct a Mandatory Tender Offer as stipulated under OJK Regulation No. YPOJK.04/2018 on the Takeover of Public Companies.
